Raises Full Year Fiscal 2026 Guidance
NEW YORK, New York – June 16, 2026 – Vince Holding Corp. (Nasdaq: VNCE) ("VNCE" or the "Company"), a global retail platform, today reported its financial results for the first quarter ended May 2, 2026.
Brendan Hoffman, Chief Executive Officer of VNCE said, “We delivered strong first quarter results that demonstrate the powerful momentum we’ve built is not only sustained but accelerating. Net sales grew 10.5%, with direct-to-consumer up 15.6% and wholesale increasing 5.9% demonstrating strength across our entire business. Our strategic investments in customer experience are paying off, fueling double-digit growth in both new and reactivated customers and supporting healthy full-price selling."
Mr. Hoffman continued, "We’re executing with discipline and precision across our business. The strength we’ve established has carried into the second quarter, reinforcing my confidence in our trajectory. With our strategic foundation firmly in place and a talented team driving product and execution, we are raising our full year guidance and remain focused on driving sustained profitable growth and creating long-term shareholder value."
In this press release, the Company is presenting its financial results in conformity with U.S. generally accepted accounting principles ("GAAP") as well as on an "adjusted" basis. Adjusted results presented in this press release are non-GAAP financial measures. See "Non-GAAP Financial Measures" below for more information about the Company's use of non-GAAP financial measures.
For the first quarter ended May 2, 2026:
• Total Company net sales increased 10.5% to $64.0 million compared to $57.9 million in the first quarter of fiscal 2025. The year-over-year increase was driven by a 15.6% increase in the direct-to-consumer segment and a 5.9% increase in the wholesale segment.
• Gross profit was $32.4 million, or 50.6% of net sales, compared to gross profit of $29.2 million, or 50.3% of net sales, in the first quarter of fiscal 2025. The increase in gross margin rate was primarily driven by approximately 130 basis points due to the favorable impact from higher pricing and 100 basis points due to the favorable impact of lower discounting, largely offset by the unfavorable impact of higher tariffs.
• Selling, general, and administrative expenses were $35.0 million, or 54.7% of sales, compared to $33.6 million, or 58.0% of sales, in the first quarter of fiscal 2025. The increase in SG&A dollars was primarily driven by higher benefit costs as well as marketing and advertising costs.
• Loss from operations was $2.6 million compared to loss from operations of $4.4 million in the same period last year.
• Income tax benefit was $0.4 million compared to an income tax expense of $0 in the same period last year. The benefit is due to the impact of applying the Company's estimated annual effective tax rate to the year-to-date ordinary pre-tax loss.
• Net loss was $2.1 million or $(0.16) per share compared to net loss of $4.8 million or $(0.37) per share in the same period last year.
• Adjusted EBITDA* was $(1.1) million compared to $(3.0) million in the same period last year.
• The Company ended the quarter with 54 company-operated Vince stores, a net decrease of 4 stores since the first quarter of fiscal 2025.

NEW YORK, New York – April 15, 2026 – Vince Holding Corp. (Nasdaq: VNCE) ("VNCE" or the "Company"), a global retail platform, today reported its financial results for the fourth quarter and fiscal year ended January 31, 2026.
Brendan Hoffman, Chief Executive Officer of VNCE said, "I am incredibly proud of the strong operating results we delivered in the fourth quarter reflecting the powerful momentum we built throughout fiscal 2025. Our team executed across all areas of the business, delivering nearly 5% sales growth with profitability exceeding the high end of our guidance ranges. The strength we saw in our direct-to-consumer business, with approximately 10% growth, demonstrates the power of our strategic initiatives as well as the quality of our product offering which continues to resonate with customers."

For the fourth quarter ended January 31, 2026:
• Total Company net sales increased 4.7% to $83.7 million compared to $80.0 million in the fourth quarter of fiscal 2024. The year-over-year increase was driven by a 10.4% increase in the direct-to-consumer segment which offset a 1.2% decline in the wholesale segment.
• Gross profit was $41.1 million, or 49.1% of net sales, compared to gross profit of $40.1 million, or 50.1% of net sales, in the fourth quarter of fiscal 2024. The decrease in gross margin rate was primarily driven by approximately 300 basis points due to the unfavorable impact of tariffs, 160 basis points due to higher promotional activity, and approximately 125 basis points due to increased freight costs, partially offset by a favorable impact of approximately 380 basis points primarily due to higher pricing.
• Selling, general, and administrative expenses were $44.0 million, or 52.6% of sales, compared to $37.8 million, or 47.2% of sales, in the fourth quarter of fiscal 2024. The increase in SG&A dollars was primarily driven by a $6.0 million bad debt expense related to the Saks reorganization.
• Loss from operations was ($2.9) million compared to a loss from operations of ($29.7) million in the same period last year. The year over year decrease in loss from operations is primarily driven by $32.0 million non-cash goodwill impairment charge (the “Goodwill Impairment Charge”) recorded in the prior comparative quarter, offset by the bad debt expense of $6.0 million related to the Saks reorganization. For fiscal 2025, excluding the impact of the bad debt expense, adjusted income from operations* was $3.1 million. For the prior year, excluding the Goodwill Impairment Charge and the transaction
expenses ("P180 Transaction Expenses") related to the acquisition of the Company’s majority stake by a wholly owned subsidiary of P180, Inc., adjusted income from operations* was $2.5 million.
• Income tax provision was $0.5 million compared to an income tax benefit of $2.0 million in the same period last year. The year over year change is primarily driven by a tax benefit taken in the prior comparative quarter due to the reversal of the non-cash deferred tax liability associated with the goodwill impairment, which previously could not be used as a source of income to support the realization of certain deferred tax assets related to the Company's net operating losses.
• Net loss was ($3.6) million or $(0.28) per share compared to a net loss of ($28.3) million or $(2.24) per share in the same period last year. Excluding the impact of bad debt expense in the fourth quarter of fiscal 2025, adjusted net income* for the period was $2.4 million or $0.18 per share. Item 7.01 Regulation FD Disclosure.
On May 3, 2024, following the previously announced wind-down of the Rebecca Taylor business, Vince, LLC (the “Seller”), an indirectly wholly owned subsidiary of Vince Holding Corp. (the “Company”), completed a nominal sale (the “Transaction”) for $1.0 of all outstanding shares of Rebecca Taylor, Inc., which held the Rebecca Taylor business prior to the wind-down, to Nova Acquisitions, LLC. As previously disclosed, in July 2023, Rebecca Taylor, Inc. and its wholly owned and sole subsidiary, Rebecca Taylor Retail Stores, LLC, each made a General Assignment for the Benefit of the Creditors to an assignee, an unaffiliated California limited liability company, pursuant to California state law. Because of these assignments, neither Rebecca Taylor, Inc. nor Rebecca Taylor Retail Stores, LLC owned any material operating assets at the time of the Transaction. Nova Acquisitions, LLC is wholly owned by James Carroll, who served as the sole director and officer of Rebecca Taylor, Inc. at the time of the Transaction, pursuant to a service agreement between Mr. Carroll and Rebecca Taylor, Inc. that was previously entered into in September 2022 in connection with the wind-down. Following the completion of the Transaction, there exists no relationship or arrangement whatsoever between Mr. Carroll and the Company or any of its affiliates. Furthermore, following the completion of the Transaction, the Company expects its stockholders’ equity to be above $50.0 million as of the fiscal quarter ended May 4, 2024 (the “2024 First Fiscal Quarter”).
The Transaction was completed pursuant to a Stock Purchase Agreement (the “SPA”), dated May 3, 2024, entered into between the Seller and Nova Acquisitions, LLC. The SPA contains customary representations, warranties and covenants for a transaction of this nature, but does not include any indemnification provisions for the benefit of either party.

Item 1.01. Entry into a Material Definitive Agreement.
Intellectual Property Asset Purchase Agreement On April 21, 2023, Vince, LLC, a Delaware limited liability company (“Vince” or “Seller”) and wholly owned indirect subsidiary of Vince Holding Corp., a Delaware corporation (the “Company”) entered into an Intellectual Property Asset Purchase Agreement (the “Asset Purchase Agreement”), by and among Seller, ABG-Viking, LLC, a newly formed Delaware limited liability company (“ABG Vince” or “Buyer”) and an indirect subsidiary of Authentic Brands Group, LLC, a Delaware corporation (“Authentic”), the Company and ABG Intermediate Holdings 2 LLC, a Delaware limited liability company (“ABG Intermediate”). The Asset Purchase Agreement provides that Vince shall sell, transfer, assign and deliver to ABG Vince on the Closing Date (as such term is defined in the Asset Purchase Agreement) all of Vince’s right, title and interest in and to its intellectual property assets related to the business operated under the VINCE brand (the “Vince Business”) of Vince in exchange for Buyer paying to Seller aggregate consideration consisting of (i) Buyer making a cash payment to Seller equal to $76.5 million (the “Cash Consideration”) and (ii) Buyer issuing units of Buyer to Seller representing a 25% ownership stake in Buyer (the “Seller Units” or the “Equity Consideration”) (the “Asset Sale”). The Cash Consideration generated by the Asset Sale is expected to be used to prepay in full the Seller’s existing term loan (the “Term Loan”) and to repay a portion of the outstanding loans under Seller’s existing asset based revolving credit facility. The Company expects to close the Asset Sale in May 2023. The consummation of the Asset Sale is subject to the satisfaction or waiver of a number of conditions on or prior to the Closing, including: the approval of the Asset Sale by the Company’s stockholders; the Company’s performance and satisfaction of obligations under the Asset Purchase Agreement, including delivery of required documents; that the representations or warranties made in connection with the Asset Purchase Agreement remain true and correct to the extent specified therein; that no material adverse effect has occurred; and that there is no order preventing the transactions contemplated by the Asset Purchase Agreement. The foregoing description of the Asset Purchase Agreement does not purport to be complete and is qualified in its entirety by reference to the Asset Purchase Agreement, filed as Exhibit 10.1 to this Current Report on Form 8-K.
