Results of Operations and Financial Condition.
On May 4, 2026, Pulse Biosciences, Inc., a Delaware corporation (the “Company”), announced certain financial and operational results for the fiscal quarter ended March 31, 2026. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is incorporated herein by this reference. This information, as well as Exhibit 99.1, is intended to be furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), nor incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
While the Company has not finalized its full financial results for the quarter ended March 31, 2026, the Company expects to report that it had approximately $68.3 million of cash and cash equivalents and approximately $0.2 million in net accounts receivable as of March 31, 2026, with net cash used in operating activities of approximately $14.6 million during the three months ended March 31, 2026. In addition, the Company expects to report that for the three months ended March 31, 2026, it generated a total of approximately $0.4 million in product revenue, incurred cost of product revenue of approximately $0.4 million, research and development costs of approximately $12.6 million, and selling, general and administrative costs of approximately $6.6 million. Overall, for the three months ended March 31, 2026, the Company expects to report a net loss of approximately $18.6 million.
These amounts are preliminary, have not been audited and are subject to completion of the Company’s financial closing procedures. Neither the Company’s independent registered public accounting firm nor any other publicly registered accounting firm has audited, reviewed or performed any procedures with respect to this preliminary information and, accordingly, no firm has expressed an opinion or any other form of assurance with respect thereto. Consequently, these amounts may differ materially from the amounts that will be reflected in the Company’s unaudited condensed consolidated balance sheet as of March 31, 2026.

On May 4, 2026, Pulse Biosciences, Inc. (the “Company”) announced accelerated enrollment timelines in its NANOPULSE-AF clinical trial. The NANOPULSE-AF trial is a prospective, multicenter, pivotal, clinical investigation currently evaluating the Company’s nPulse™ Cardiac Catheter System for treating recurrent, drug-resistant, symptomatic paroxysmal atrial fibrillation (“AF”). The Company plans to enroll approximately 215 participants in this study, across multiple clinical sites, and expects the primary endpoints will be assessed at 6 and 12 months post-ablation to measure

On August 9, 2024, the Board of Directors of Pulse Biosciences, Inc. (the “Company”) elected Paul A. LaViolette to serve as a member of the Company’s Board of Directors (the “Board”). Mr. LaViolette will serve until his term expires at the annual meeting of stockholders to be held in 2025 and until his successor is elected and qualified or until his earlier death, resignation or removal. In addition, the Board appointed Robert W. Duggan and Mr. LaViolette to serve as Co-Chairmen of the Board and appointed Mr. LaViolette to serve on the Board’s Audit Committee and Corporate Governance and Nominating Committee and to serve as Chairman of the Board’s newly created Strategic Advisory Committee. On August 9, 2024, the Board established the Strategic Advisory Committee, as its fourth standing committee, to assist in the Board’s oversight of the Company’s corporate initiatives, objectives and strategies, including the Company’s evaluation of financing, partnering and licensing opportunities, and the Board also appointed Directors Mahkam Zanganeh and Manmeet Soni as members of the Strategic Advisory Committee.
Mr. LaViolette brings 40 years of experience in global medical technology, operating leadership and investing. Item 1.01 Entry into a Material Definitive Agreement.
On July 15, 2024, Pulse Biosciences, Inc. (the “Company”) entered into an equity distribution agreement (the “Distribution Agreement”) with Canaccord Genuity LLC and Needham & Company, LLC (each a “Sales Agent” and together, the “Sales Agents”), as sales agents, pursuant to which the Company may offer and sell, from time to time, through the Sales Agents, shares of the Company’s common stock, par value $0.001 per share (the “Common Stock”), having an aggregate offering price of up to $60.0 million (the “Shares”). The Company is not obligated to sell any Shares under the Distribution Agreement. Subject to the terms and conditions of the Distribution Agreement, the Sales Agents will use commercially reasonable efforts, consistent with their normal trading and sales practices, to sell Shares from time to time based upon the Company’s instructions, including any price, time or size limits or other customary parameters or conditions specified by the Company. Under the Distribution Agreement, the Sales Agents may sell Shares in transactions that are deemed to be “at the market” offerings as defined in Rule 415(a)(4) under the Securities Act of 1933, as amended (the “Securities Act”), including sales made by means of ordinary brokers’ transactions, including directly on the Nasdaq Capital Market or into any other existing trading market for the Shares, or sales made to or through a market maker, in block transactions or by any other method permitted by law, including negotiated transactions. Sales may be made at market prices prevailing at the time of a sale or at prices related to prevailing market prices or at negotiated prices. The Company will pay the Sales Agents a commission of up to 3.0% of the gross sales price per share sold by the Sales Agents. The Company also will reimburse the Sales Agents for certain specified expenses in connection with entering into the Distribution Agreement. The Company has no obligation to sell any of the Shares under the Distribution Agreement and may at any time suspend solicitations and offers under the Distribution Agreement. Other Events.
On March 28, 2024, Pulse Biosciences, Inc. (the “Company”) issued a press release announcing plans to initiate a rights offering to its existing stockholders of record as of the close of business on a record date in April to be announced as soon as practicable.
As approved by the Company’s Board of Directors, the rights offering of up to $60 million worth of units (“Units”) will be available to all holders of record of the Company’s common stock, par value $0.01 (the “Common Stock”) as of the close of the market on a record date in April to be announced as soon as practicable (the “Record Date”). Each Unit will consist of one share of Common Stock and two warrants, each to purchase one-half of one share of Common Stock, with each warrant having different redemption provisions. The subscription price per Unit shall be equal to the lesser of (i) $10.00 per Unit (the “Initial Price”) and (ii) the volume weighted average price of the Company’s Common Stock for the ten trading day period through and including the expiration date of the offering, which has not yet been set by the Board. The subscription price will determine the final number of Units issuable, and subsequently the pro rata number of Units to which stockholders can subscribe. Each warrant will have a per share exercise price equal to 110% of the subscription price for the Units. The Company intends to distribute to all holders of Common Stock as of the Record Date non-transferable subscription rights to purchase Units at the price provided above.
Assuming that the rights offering is fully subscribed at the Initial Price, the Company will receive gross proceeds of up to $60 million, less expenses related to the rights offering, and upon exercise of all of the warrants, would receive additional proceeds of up to $66 million. The rights offering will include an over-subscription right to permit each rights holder that exercises its basic subscription rights in full to purchase additional Units that remain unsubscribed at the expiration of the offering. On March 28, 2023, the Company's Board of Directors appointed Manmeet S. Soni to the newly created position of Lead Independent Director of the Board of Directors. In keeping with the Company's Amended and Restated Outside Director Compensation Policy, Mr. Soni will be paid an annual fee of $80,000, payable on a quarterly basis, for his additional responsibilities as the Company's Lead Independent Director.

ITEM 2.05. Costs Associated with Exit or Disposal Activities. On March 31, 2022, the Company initiated a plan to reduce its operating expenses, preserve financial resources, and focus its sales and marketing efforts on increasing utilization of commercial CellFX Systems. These actions are expected to result in a reduction of total operating expenses in 2022 of approximately 20% from the current run rate. As a result of this focus, the Company has initiated operating expense reduction programs across the Company. The Company’s Board of Directors has approved changes to the Company’s commercial leadership, restructuring of its commercial field organization and reductions in other expenses. The Company expects a reduction in its current workforce by approximately 15 to 20%, to be completed within a few weeks. Affected employees will be offered separation benefits, including severance payments along with temporary healthcare coverage assistance. The Company expects to record these charges in the first quarter of 2022. The restructuring actions associated with these charges are expected to be complete in 2022.
