On September 4, 2025, the Company announced that IceVulcan Investments Ltd., an entity controlled by Daniel Dines, our CEO, founder, and Chairman, adopted, on July 11, 2025, a trading plan intended to satisfy the affirmative defense conditions of Rule 10b5-1(c) under the Exchange Act to sell up to 5,000,000 shares of our Class A common stock, through April 17, 2026, subject to limit prices. In connection with the adoption of the trading plan, Mr. Dines will convert 3,146,745 shares of Class B common stock held by Ice Vulcan Holding Limited, an entity also controlled by Mr. Dines, to shares of Class A common stock, which, along with 1,853,255 shares of Class A common stock held by Ice Vulcan Holding Limited, will be transferred to IceVulcan Investments Ltd. Mr. Dines entered into the trading plan as part of his personal long-term investment strategy for tax, asset diversification, and liquidity. The shares subject to the trading plan represent less than 5% of Mr. Dines’s holdings and he will continue to remain a significant controlling stockholder of the Company.

Item 2.05 Costs Associated with Exit or Disposal Activities. As previously disclosed in the Current Report on Form 8-K filed by the Company on July 9, 2024 (the “July 2024 8-K”), the board of directors (the “Board”) of the Company approved restructuring actions to manage its operating expenses on July 8, 2024. The restructuring actions reflect efforts to reshape the organization by streamlining the Company’s structure, particularly in operational and corporate functions, better prioritizing the Company’s go-to-market investments, and focusing the Company’s research and development investments on artificial intelligence and driving innovation across the Company’s platform. In the July 2024 8-K, the Company estimated that it would incur total restructuring costs of approximately $17 million to $25 million, predominantly in cash expenditures, which were expected to be incurred by the first quarter of fiscal year 2026. While the restructuring actions are substantially completed, on March 6, 2025, the Board approved modifications to the restructuring actions, as described in the July 2024 8-K, to (1) increase the total anticipated restructuring costs by $5 million, such that the high end of the anticipated costs will be $30 million; and (2) extend the time period in which the restructuring costs are incurred such that the costs are expected to be incurred by the end of the second quarter of fiscal year 2026. The July 2024 8-K is hereby deemed amended and supplemented by the foregoing.

Appointment of New Board Member On August 30, 2024, the Board of Directors (the “Board”) of the Company increased the size of the Board from eight to nine members and appointed Mr. Sivaramakichenane Somasegar as a director of the Company to fill the resulting vacancy, effective September 5, 2024. Mr. Somasegar, age 58, also has been designated as a member of the Nominating and Corporate Governance Committee of the Board. The Board has determined that Mr. Somasegar qualifies as an independent director under New York Stock Exchange listing standards. Mr. Somasegar currently serves as a Managing Director at Madrona Ventures, an early stage venture capital firm. Prior to joining Madrona, Mr. Somasegar built a career at Microsoft over nearly three decades, where he led the company’s Developer Division responsible for the Visual Studio and .NET family of products that are the core building blocks for tens of millions of developers to build applications. Mr. Somasegar also led the development of Microsoft’s R&D labs in Boston, Canada, China, India, and Israel. Mr. Somasegar holds a master’s degree in computer engineering from Louisiana State University and a bachelor’s degree in electronics and communication engineering from Guindy Engineering College, Anna University in Chennai, India. Mr. Somasegar also received an Honorary Doctorate from Anna University for accomplishments in Technology and Computer Science. Mr. Somasegar will receive compensation pursuant to our non-employee director compensation policy, as described in the “Non-Employee Director Compensation Policy” section of the Company’s definitive proxy statement for the 2024 Annual Meeting of Shareholders filed with the U.S. Securities and Exchange Commission (the “SEC”) on May 9, 2024. On September 1, 2023, the Board of Directors of the Company authorized a stock repurchase program pursuant to which we may repurchase from time to time up to $500 million of our outstanding shares of Class A common stock. Repurchases under the program may be effected through open market purchases, privately-negotiated transactions, or otherwise in accordance with applicable federal securities laws, including through Rule 10b5-1 trading plans and under Rule 10b-18 of the Exchange Act. The timing and actual number of shares repurchased will depend on a variety of factors, including price, general business and market conditions, and alternate uses of capital. The stock repurchase program authorization expires on March 1, 2025, subject to modification by the Board of Directors in the future.

Mr Weber will assist with the transition through April 30, 2023, the end of our first fiscal quarter 2024. Robert Enslin, the Company’s Co-Chief Executive Officer (“Co-CEO”) since May 2022, will assume leadership of the go-to-market strategy and execution, in addition to his existing Co-CEO responsibilities. This change will streamline our management structure and increase organizational agility and efficiency while elevating the voice of the customer. Prior to joining the Company, Mr. Enslin, age 60, most recently served as President, Cloud Sales at Google. He joined Google in April 2019. Prior to that, he spent 27 years at SAP, most recently as President of its Cloud Business Group and as an executive board member. There are no arrangements or understandings between Mr. Enslin and any other persons pursuant to which he was selected as an executive officer or director, and he has no family relationship with any of the Company’s directors or executive officers. Mr. Enslin does not have a direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K. In connection with his departure from the Company, in consideration of his assistance with the transition and in exchange for a customary release, Mr. Weber will receive a lump sum payment of $250,000 and accelerated vesting of 76,024 restricted stock units, less applicable taxes, payroll deductions, and all required withholdings.

Item 2.02 Results of Operations and Financial Condition. On November 14, 2022, UiPath, Inc. (“UiPath” or the “Company”) announced preliminary unaudited results for its fiscal third quarter 2023 ended October 31, 2022. Revenue, ARR, and non-GAAP operating income are all above fiscal third quarter 2023 guidance issued on September 6, 2022. Based on preliminary unaudited financial information, the Company expects to report the following: •Revenue of approximately $260 million. •ARR of approximately $1.108 billion as of October 31, 2022. •GAAP operating loss of approximately $(70) million. •Non-GAAP operating income of approximately $15 million. As previously announced, UiPath is scheduled to report results and host its fiscal third quarter 2023 conference call on December 1, 2022, after market close. These preliminary financial results are subject to revision in connection with the Company's financial closing procedures and finalization of the Company’s condensed consolidated financial statements for its fiscal third quarter 2023. Actual results for the fiscal third quarter ended October 31, 2022 may differ from these preliminary results. Non-GAAP Financial Measures Expected non-GAAP operating income excludes the following items, which are included in GAAP operating loss: •stock-based compensation expense of approximately $81 million; •amortization of acquired intangibles of approximately $2 million; •employer payroll tax expense related to employee equity transactions of approximately $1 million; and •restructuring costs of approximately $1 million. Non-GAAP financial measures are financial measures that are derived from the consolidated financial statements, but that are not presented in accordance with generally accepted accounting principles in the United States (GAAP). UiPath uses non-GAAP financial measures internally in analyzing its financial results and believes they are useful to investors, by excluding the effects of special items that do not reflect the ordinary earnings of our operations. UiPath believes that the use of non-GAAP financial measures provides an additional tool for investors to use in evaluating ongoing operating results and trends and in comparing its financial results with other companies in UiPath’s industry, many of which present similar non-GAAP financial measures to investors.
