Item 2.02     Results of Operations and Financial Condition The following information is furnished pursuant to Item 2.02, “Results of Operations and Financial Condition.” On February 5, 2026, Open Text Corporation (the “Company”) issued a press release announcing its financial results for the quarter ended December 31, 2025. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K. Item 8.01    Other Events The following information is filed pursuant to Item 8.01 “Other Events”. Cash Dividends Pursuant to the Company's dividend policy, the Board of Directors of the Company has declared a dividend of $0.275 per Common Share, payable on March 20, 2026, to the shareholders of the Company of record on March 6, 2026. OpenText believes strongly in returning value to its shareholders and intends to maintain its dividend program. Any future declarations of dividends and the establishment of future record and payment dates are all subject to the final determination and discretion of the Board of Directors. The declaration, payment and amount of any future dividends will be made pursuant to the Company's dividend policy and is subject to final determination each quarter by the Board of Directors in its discretion based on a number of factors that it deems relevant, including the Company's financial position, results of operations, available cash resources, cash requirements and alternative uses of cash that the Board of Directors may conclude would be in the best interest of the shareholders of the Company. Payment of dividends is also subject to relevant contractual limitations, including those in the Company's existing credit agreements. Accordingly, there can be no assurance that any future dividends will be equal or similar in amount to any dividends previously paid or that the Board of Directors will not decide to reduce, suspend or discontinue the payment of dividends in the future.

On July 9, 2025, Open Text Corporation (“OpenText” or the “Company”) issued a press release announcing its preliminary fourth quarter fiscal year 2025 revenue expectations of approximately US$1.31 billion. A copy of the press release announcing such revenue expectations is attached hereto as Exhibit 99.1 to this Form 8-K.

The foregoing preliminary fourth quarter fiscal year 2025 revenue expectations reflect management’s current views with respect to the Company’s financial results. Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On July 9, 2025, the Company also announced that Chadwick Westlake will step down as EVP, Chief Financial Officer effective August 15, 2025, post-completion of OpenText’s fiscal year-end reporting. OpenText has initiated a comprehensive search to identify a long-term successor with the assistance of a leading executive search firm.

Following Mr. Westlake’s departure effective August 15, 2025 and until the search is completed, Cosmin Balota, age 51, OpenText’s SVP, Chief Accounting Officer, will also serve as Chief Financial Officer on an interim basis. Mr. Balota has over 30 years of experience, joined OpenText in 2019, and is a Chartered Professional Accountant in Canada and holds a Master of Accounting from the University of Waterloo.

Item 2.05     Costs Associated with Exit or Disposal Activities On April 29, 2025, the Board of Directors of the Company approved an expansion of its previously announced Business Optimization Plan to complete strategic initiatives, integration and simplification following the Micro Focus acquisition, AMC divestiture and other growth and innovation plans including the deployment of AI and automation. The Company expects up to approximately $200 million of additional costs to be incurred to complete this final phase of the Business Optimization Plan, bringing the combined plan up to approximately $260 million. This expansion includes costs associated with workforce reduction due to automation, centralization and simplification, and corresponding facility costs related to a reduction of the Company’s real estate footprint globally. On an overall basis, the expansion is expected to result in a total net reduction of approximately 2,000 positions, an increase of approximately 1,600 positions from the previously announced plan. The expanded Business Optimization Plan along with other savings initiatives, when fully implemented, is expected to generate total annualized savings of approximately $490 million to $550 million, an increase of $340 million to $400 million on an annualized basis. Of this, approximately 50% will be realized in Fiscal 2026, with the remaining annualized benefit to be realized in Fiscal 2027. Any future declarations of dividends and the establishment of future record and payment dates are all subject to the final determination and discretion of the Board of Directors. The declaration, payment and amount of any future dividends will be made pursuant to the Company's dividend policy and is subject to final determination each quarter by the Board of Directors in its discretion based on a number of factors that it deems relevant, including the Company's financial position, results of operations, available cash resources, cash requirements and alternative uses of cash that the Board of Directors may conclude would be in the best interest of the shareholders of the Company. Item 2.02     Results of Operations and Financial Condition The following information is furnished pursuant to Item 2.02, “Results of Operations and Financial Condition.” On February 1, 2024, Open Text Corporation (the “Company”) issued a press release announcing its financial results for the quarter ended December 31, 2023. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K. Item 8.01    Other Events The following information is filed pursuant to Item 8.01 "Other Events". Cash Dividends Pursuant to the Company's dividend policy, the Board of Directors of the Company has declared a dividend of $0.25 per Common Share, payable on March 20, 2024, to the shareholders of the Company of record on March 1, 2024. OpenText believes strongly in returning value to its shareholders and intends to maintain its dividend program. Any future declarations of dividends and the establishment of future record and payment dates are all subject to the final determination and discretion of the Board of Directors. The declaration, payment and amount of any future dividends will be made pursuant to the Company's dividend policy and is subject to final determination each quarter by the Board of Directors in its discretion based on a number of factors that it deems relevant, including the Company's financial position, results of operations, available cash resources, cash requirements and alternative uses of cash that the Board of Directors may conclude would be in the best interest of the shareholders of the Company. Payment of dividends is also subject to relevant contractual limitations, including those in the Company's existing credit agreements. Accordingly, there can be no assurance that any future dividends will be equal or similar in amount to any dividends previously paid or that the Board of Directors will not decide to reduce, suspend or discontinue the payment of dividends in the future.

Item 2.02     Results of Operations and Financial Condition The following information is furnished pursuant to Item 2.02, “Results of Operations and Financial Condition.” On August 4, 2022, Open Text Corporation (the “Company”) issued a press release announcing its financial results for the quarter ended June 30, 2022. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K. The Company also issued a letter to shareholders (the "shareholder letter") announcing its financial results for the quarter ended June 30, 2022. A copy of the shareholder letter is furnished as Exhibit 99.2 to this Form 8-K. Item 8.01    Other Events The following information is filed pursuant to Item 8.01 "Other Events" Cash Dividends Pursuant to the Company's dividend policy, the Board of Directors of the Company has declared a dividend of $0.24299 per Common Share, payable on September 23, 2022, to the shareholders of the Company of record on September 2, 2022. OpenText believes strongly in returning value to its shareholders and intends to maintain its dividend program. Any future declarations of dividends and the establishment of future record and payment dates are all subject to the final determination and discretion of the Board of Directors.
