handheld chemical analysis tools for vital health, safety and defense tech applications, today reported financial results for the quarter ended March 31, 2026.
“We delivered a strong start to 2026, achieving 14% revenue growth and meaningful margin expansion,” said Kevin J. Knopp, CEO and Co-founder. “We are also excited to announce the acquisition of NIRLAB AG, a strategic transaction that broadens our reach into the lower-cost, widely-deployable segment of the narcotics detection market while increasing our recurring revenue opportunity through software subscriptions. This transaction reflects our focus on disciplined growth investments as we continue to execute our transformation strategy.”

First Quarter 2026 Financial Results
Revenue was $13.4 million for the three months ended March 31, 2026, a 14% increase over the prior year period, driven by an increase in product revenue for mass spec, from an increase in placements, and from a shift in FTIR product mix. OEM and funded partnership revenue was $0.6 million for the current and prior year period. The installed base grew 23% year-over-year to 3,903 devices, with 167 devices placed during the first quarter. Recurring revenue represented 30% of total revenues in the quarter.
Gross profit was $6.9 million for the first quarter of 2026, compared to $5.5 million for the corresponding period in the prior year. GAAP gross margin was 51% as compared to 47% for the corresponding prior year period. Adjusted gross profit was $7.7 million for the first quarter of 2026, compared to $6.4 million for the corresponding period in the prior year. Adjusted gross margin was 57%, as compared to 54% for the corresponding prior year period. The increase in adjusted gross margin percentage was primarily driven by higher product revenues, including a shift in channel mix, along with the favorable impact of consolidated facilities, offset in part by lower service gross margins.
Operating expenses were $19.8 million for the first quarter of 2026, compared to $16.6 million for the corresponding prior year period. The increase of $3.2 million includes a noncash increase of $3.9 million related to a change in the fair value of the contingent consideration liability, and a $0.7 million reduction of operating expenses related to research and development and selling, general, and administrative costs.
Net loss from continuing operations was $12.0 million for the first quarter of 2026, compared to a net loss from continuing operations of $9.8 million for the corresponding prior year period. Adjusted EBITDA was a loss of $2.5 million for the first quarter of 2026, compared to a loss of $4.6 million for the corresponding period in the prior year.
Net loss attributable to common stockholders was $12.0 million for the first quarter of 2026, compared to net income of $43.6 million for the corresponding prior year period. The income was related to the divestiture of our bioprocessing product portfolio which resulted in a gain of $56.6 million, net of transaction costs, and was also offset by a loss from discontinued operations for the first two months of the first quarter of 2025.
Cash, cash equivalents and marketable securities were $111.7 million as of March 31, 2026, with no debt outstanding.
2026 Guidance
908 Devices now expects full year 2026 revenues to be in the range of $67.0 million to $70.0 million, representing 19% to 25% growth compared to 2025 revenue.

Item 2.02 Results of Operations and Financial Condition.
On November 12, 2024, 908 Devices Inc. (“908 Devices” or the “Company”) announced its financial results for the third quarter ended September 30, 2024. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K (“Form 8-K”).

Item 7.01 Regulation FD Disclosure.
Manufacturing Operations Transition
On November 12, 2024, the Company announced that it intends to transition all manufacturing operations currently undertaken in Boston, Massachusetts to its facilities in Morrisville, North Carolina and Danbury, Connecticut. The transition is expected to be completed in 2025, and the relocation to these lower cost manufacturing locations is expected to generate cost savings for the Company of approximately $2.4 million annually, starting in 2026. All employees expected to be impacted by these future relocations have been offered employment retention payments to be paid in 2025, and employment termination protections, including minimum notice periods and severance payments.
The Company does not have a current estimate of the one-time costs
associated with these relocations, but does not anticipate that the associated costs will be material to the Company’s financial condition or operating results. The Company expects that the execution of the manufacturing relocations will be complete by the end of the third quarter of 2025 and that the cash payments related to the manufacturing relocations will be paid throughout 2025.
Organizational Restructuring
On November 12, 2024, the Company also announced an organizational restructuring to strengthen operational efficiencies. As part of the organizational restructuring, and to reduce the Company’s annual cash burn, the Company implemented an approximately 11% workforce reduction to rationalize the Company’s bioprocessing and life science instrumentation investments in sales, marketing and research and development during the current slower growth market environment. This restructuring is expected to generate cost savings for the Company of approximately $4.2 million annually, starting in 2025.

Item 1.01 Entry into a Material Definitive Agreement.
On August 4, 2023, 908 Devices Inc. (the “Company”) entered into a Default Waiver and First Amendment to Loan and Security Agreement (the “Amended Loan Agreement”), by and between, the Company, as borrower, and Silicon Valley Bank, a division of First-Citizens Bank & Trust Company (successor by purchase to the Federal Deposit Insurance Corporation as Receiver for Silicon Valley Bridge Bank, N.A. (as successor to Silicon Valley Bank)), as lender (the “Lender”).
The Amended Loan Agreement provides for a revolving line of credit of up to $10.0 million. The outstanding principal amount of any advance shall accrue interest at a floating rate per annum equal to the greater of (i) four and one-half percent (4.50%) and (ii) the “prime rate” as published in The Wall Street Journal for the relevant period minus one-half percent (0.50%). The Company’s obligations under the Amended Loan Agreement are secured by substantially all of the Company’s assets, excluding its intellectual property, which is subject to a negative pledge. The revolving line of credit under the Amended Loan Agreement terminates on November 2, 2025. As of August 4, 2022, no amounts were outstanding under the Amended Loan Agreement.
Pursuant to the Amended Loan Agreement, the Lender waived filing any legal action or instituting or enforcing any rights and remedies it may have had against the Company in connection with the Company’s failing to maintain all of its operating accounts, depository accounts and excess cash with the Lender, as previously required prior to the effectiveness of the Amended Loan Agreement.
The Amended Loan Agreement contains certain financial covenants, including a requirement that the Company maintain $20.0 million on account at or thru the Lender, and the amount of unrestricted and unencumbered cash minus advances under the Amended Loan Agreement, is not less than the amount equal to the greater of (i) $10.0 million or (ii) nine (9) months of cash burn. The Amended Loan Agreement contains customary representations and warranties, as well as certain non-financial covenants, including limitations on, among other things, the Company’s ability to change the principal nature of its business, dispose of the Company’s business or property, engage in any change of control transaction, merge or consolidate with any other entity or to acquire all or substantially all the capital stock or property of another entity, incur additional indebtedness or liens, pay dividends or make other distributions on capital stock, redeem the Company’s capital stock, engage in transactions with affiliates or otherwise encumber the Company’s intellectual property, in each case, subject to customary exceptions.
