(Nasdaq: LXEO), a clinical stage genetic medicine company dedicated to pioneering novel treatments for cardiovascular diseases, today provided business updates across its portfolio and reported financial results for the first quarter 2026.

Program Updates and Recent Progress

LX2006 in Friedreich Ataxia (FA)

• In May 2026, Lexeo will share multiple presentations on LX2006 at the 29th American Society of Gene and Cell Therapies (ASGCT) Annual Meeting:

o Phase I/II interim clinical data of LX2006 continue to show sustained or deepening improvements across both cardiac and neurologic measures of FA, including statistically significant improvement in mean mFARS scores for LX2006-treated participants compared to a propensity-matched control cohort from the UNIFAI natural history study (n=17; p=0.003). LX2006 remains generally well tolerated with no Grade 3+ SAEs to date.

o Nonhuman primate research with LX2006 conducted by researchers at Weill Cornell Medicine demonstrates the potential of sequential dosing strategies to treat FA. Eight weeks following systemic intravenous administration of LX2006, nonhuman primates were administered LX2006 directly to the cerebellum or cerebral spinal fluid (CSF), and potentially therapeutic levels of cerebellar vector genome copies were detected via both routes of administration despite pre-existing immunity to the therapeutic vector.

o CMC comparability data for LX2006 between adherent HEK293 and Sf9 baculovirus suspension processes was shared, highlighting Lexeo’s optimized manufacturing platform that can maintain purity and potency while significantly improving scalability of production and reducing cost.

• In February 2026, Lexeo submitted the final registrational trial design and statistical analysis plan (SAP) for the SUNRISE‑FA 2 pivotal study to the FDA following a Type B meeting. The company is in contact with the FDA and is awaiting final feedback on the study protocol. Lexeo plans to provide an update when the protocol and SAP are finalized.

• Anticipated milestones for the remainder of 2026 include:

Program Updates and Recent Progress

LX2006 in Friedreich Ataxia (FA)

• In October 2025, Lexeo announced progress in FDA discussions and reported positive interim clinical data from both ongoing Phase I/II studies of LX2006 demonstrating an encouraging safety profile and evidence of meaningful cardiac and functional benefit. LX2006 was generally well tolerated and associated with improvements in cardiac structure, biomarkers, and functional outcomes, including reduced left ventricular mass index (LVMI) and improved modified Friedreich Ataxia Rating Scale (mFARS) scores across participants with more than six months of follow‑up.

• In November 2025, FDA approved the analytical comparability report establishing comparability between LX2006 HEK293 and Sf9 manufacturing processes, endorsing use of the optimized, Sf9 final commercial manufacturing process for LX2006 in the planned pivotal study and clearing comparability requirements to begin dosing patients.

• In February 2026, Lexeo submitted the final registrational trial design and statistical analysis plan (SAP) for the SUNRISE‑FA 2 pivotal study to the FDA following a Type B meeting. The proposed open-label study is generally consistent with previously communicated guidance on key design elements, such as study size, duration, patient population, and the LVMI primary endpoint, and incorporates FDA feedback on minimizing bias, including physician selection bias of study participants. Item 1.01 Entry into a Material Definitive Agreement.

Underwriting Agreement On October 16, 2025, Lexeo Therapeutics, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Leerink Partners LLC, as representative (the “Representative”) of the several underwriters named therein (collectively, the “Underwriters”), relating to the issuance and sale in a public offering (the “Public Offering”) of 15,625,000 shares (the “Firm Shares”) of the Company’s common stock, par value $0.0001 per share (the “Common Stock”), at a price to the public of $8.00 per share. Under the terms of the Underwriting Agreement, the Underwriters have agreed to purchase the Firm Shares from the Company at a price of $7.52 per share. In addition, the Company has granted the Underwriters an option, exercisable for 30 days from the date of the Underwriting Agreement, to purchase up to an additional 2,343,750 shares of common stock (together with the Firm Shares, the “Shares”) at the public offering price, less underwriting discounts and commissions. All of the Shares in the Public Offering are being sold by the Company. The gross proceeds from the Public Offering are expected to be approximately $125 million before deducting underwriting discounts and commissions and other offering expenses payable by the Company and assuming no exercise of the Underwriters’ option to purchase additional shares. The Public Offering is expected to close on October 20, 2025, subject to the satisfaction of customary closing conditions. The Underwriting Agreement contains customary representations, warranties and agreements by the Company, customary conditions to closing, indemnification obligations of the Company and the Underwriters, including for liabilities under the Securities Act of 1933, as amended (the “Securities Act”), other obligations of the parties, and termination provisions. The representations, warranties and covenants contained in the Underwriting Agreement were made only for purposes of such agreement and as of specific dates, were solely for the benefit of the parties to such agreement, and may be subject to limitations agreed upon by such parties. CFO Transition

On August 14, 2025, Lexeo Therapeutics, Inc. (the “Company”) announced that the Board of Directors of the Company (the “Board”) appointed Louis Tamayo to serve as the Company’s Chief Financial Officer effective August 15, 2025 (the “Effective Date”). In connection with Mr. Tamayo’s appointment as Chief Financial Officer, Mr. Tamayo will also serve as the Company’s principal financial officer and principal accounting officer. Mr. Tamayo succeeds Dr. Kyle Rasbach, who resigned as Chief Financial Officer effective August 15, 2025. Dr. Rasbach will serve as an advisor to the Company through August 29, 2025 to assist in the transition of his duties. The Company is appreciative of the service of Dr. Rasbach and his resignation is not the result of any disagreement with the Company on any matter, including the Company’s operations, policies or practices.

Prior to joining the Company, Mr. Tamayo, age 49, served as the Senior Vice President – Operational Excellence at Siemens Healthineers AG from February 2023 to September 2024. He also served as Senior Vice President – Head of Product Franchise Finance at Siemens Healthineers AG from October 2020 to February 2023. From 2016 to October 2020, Mr. Tamayo served as the Vice President – Head of Research and Development Finance (Product Lifecycle Management) at Siemens Healthineers AG. From 2014 to 2016, Mr. Tamayo served as the Vice President – Business Unit Chief Financial Officer, Diabetes Care at Becton, Dickinson and Company. (d) Appointment of New Director On November 11, 2024 (the “Appointment Date”), Tolga Tanguler was appointed to the board of directors of the Company (the “Board”). Mr. Tanguler will serve as a director with a term of office expiring at the Company’s 2027 Annual Meeting of Stockholders. Mr. Tanguler, age 52, has served as the Executive Vice President and Chief Commercial Officer of Alnylam Pharmaceuticals, Inc., a biopharmaceutical company, since January 2021. Mr. Tanguler also served as the Head of U.S. Organization of Alexion Pharmaceuticals, Inc., a biopharmaceutical company, from November 2018 to December 2020. Mr. Tanguler has over 25 years of experience in the global biopharmaceutical industry, including as the President of the North America rare disease unit at Pfizer Inc., a global pharmaceutical company, from October 2014 to October 2018. Mr. Tanguler holds a B.S. in Finance and Economics from Istanbul University and an MBA from the Michigan State University. In accordance with the Company’s Non-Employee Director Compensation Policy (the “Director Compensation Policy”), Mr. Tanguler is eligible to participate in the Company’s standard compensation arrangements for non-employee directors which consists of cash and equity compensation for service on the Board. Item 1.01 Entry into a Material Definitive Agreement. Common Stock Purchase Agreement

On March 11, 2024, Lexeo Therapeutics, Inc. (the “Company”) entered into a Common Stock Purchase Agreement (the “Purchase Agreement”) for a private placement (the “Private Placement”) with certain qualified institutional buyers and institutional accredited investors (each, a “Purchaser” and collectively, the “Purchasers”). Pursuant to the Purchase Agreement, the Company agreed to sell to the Purchasers 6,278,905 shares of the Company’s common stock, par value $0.0001 per share (the “Shares”), at a purchase price of $15.13 per Share.

The Private Placement is expected to close on March 13, 2024, subject to the satisfaction of customary closing conditions. The gross proceeds of the Private Placement are expected to be approximately $95 million, before deducting commissions and offering expenses payable by the Company. The Company intends to use the net proceeds from the Private Placement to fund working capital and other general corporate purposes.

Entities affiliated with certain members of the Company’s board of directors participated in the Private Placement, purchasing approximately $6 million of Shares in the aggregate. The participation of these entities in the Private Placement was disclosed to the Board of Directors of the Company (the “Board”) and approved by the pricing committee of the Board.

Registration Rights

In connection with the Private Placement, the Company and the Purchasers entered into a Registration Rights Agreement, dated March 11, 2024 (the “Registration Rights Agreement”), providing for the registration for resale of the Shares pursuant to a registration statement (the “Registration Statement”) to be filed with the Securities and Exchange Commission (the “SEC”) on or prior to April 12, 2024 (the “Filing Deadline”). The Company has agreed to use its best efforts to cause the Registration Statement to be declared effective as soon as possible, but in no event later than 60 days after the closing of the Private Placement (or 90 days in the event of a full review of the Registration Statement by the SEC) (the “Effectiveness Deadline”), and to keep the Registration Statement continuously effective from the date on which the SEC declares the Registration Statement to be effective until such date that all Registrable Securities (as such term is defined in the Registration Rights Agreement) covered by the Registration Statement have been sold pursuant to a registration statement under the Securities Act of 1933, as amended (the “Securities Act”) or under Rule 144 as promulgated by the
