Commenting on the results, Lesaka Executive Chairman Ali Mazanderani said, "I am delighted that Lesaka delivered on all of its FY2026 guidance metrics, exceeded the top end of our Adjusted EPS guidance range and achieved full-year GAAP profitability for the first time since Lesaka was effectively created in 2022. FY2026 was a milestone year for Lesaka, and we enter FY2027 with real momentum and a platform built for strong, sustainable growth. Looking ahead, I am pleased to share our medium-term ambitions, which includes Adjusted EPS CAGR in excess of 40% over the next three years."

Outlook: First Quarter 2027 ("Q1 2027") and Full Fiscal Year 2027 ("FY 2027") guidance

While we report our financial results in USD, we measure our operating performance in ZAR, and as such we provide our guidance accordingly.

For FY2027, the year ending June 30, 2027, we expect:

Net Revenue between ZAR 7.0 billion and ZAR 7.7 billion

Group Adjusted EBITDA between ZAR 1.45 billion and ZAR 1.60 billion

(the "Company") filed a Current Report on Form 8-K (the "Preliminary Report") to report its preliminary financial results for the quarter and fiscal year ended June 30, 2025 within a press release (the "Preliminary Earnings Release") furnished as Exhibit 99.1 in the Original Report. This Current Report on Form 8-K (the "Final Report") supplements the Preliminary Report with respect to certain financial information included in the Preliminary Earnings Release, including providing disclosures of Revenue, Merchant Revenue and Net Revenue, and Consumer Revenue. The following information is furnished pursuant to Item 2.02, "Results of Operations and Financial Condition".

On September 10, 2025, Lesaka Technologies, Inc., a Florida corporation (the "Company"), issued a press release setting forth its preliminary financial results for the fourth quarter and year ended June 30, 2025.

As disclosed in the Current Report on Form 8-K filed on September 10, 2025, the Audit Committee of the Company’s Board of Directors (the “Audit Committee”), following consultation with its management and KPMG Inc, its independent registered public accounting firm, concluded that the Company’s unaudited condensed consolidated financial statements for the quarters then ended, respectively, included in our Quarterly Reports on Form 10-Q for the quarters ended September 30, 2024, December 31, 2024, and March 31, 2025, respectively (the “Quarterly Reports”), should be restated, and that such unaudited condensed financial statements should no longer be relied upon, due to the Company’s re-evaluation of the classification of certain revenue that has been reported as an agent rather than as principal, and related cost of goods sold. The Company anticipates that the restatement will have no impact on its reported operating income (loss), net loss or loss per share or its net cash flows or liquidity. The restatement is expected to result in an increase in its revenue, with the increase in revenue expected to be offset by a corresponding increase in its cost of goods sold, IT processing, servicing and support. The financial information presented in this Current Report on Form 8-K has been prepared on a basis consistent with our restated results.

On November 6, 2024, Lesaka Technologies, Inc., a Florida corporation (the "Company"), issued a press release setting forth its financial results for the first quarter ended September 30, 2024.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 5, 2024, our Remuneration Committee adopted cash incentive awards for fiscal 2025 for Messrs. Naeem Kola, Steven Heilbron, and Lincoln Mali and Dan Smith.

Cash Incentive Awards for Fiscal 2025

Under the cash incentive awards, each of Messrs. Kola, Heilbron, Mali and Smith will be eligible to earn a cash incentive award based on a number of quantitative factors based on our fiscal 2025 financial performance and his individual contribution toward the achievement of certain objectives described under "Qualitative Portion of the Cash Incentive Awards" below. The terms of the cash incentive awards are summarized below.

Mr. Naeem Kola

Mr. Kola's cash incentive award provides for an expected performance range cash incentive award of between 20% and 120% of his annual base salary of $400,000 for fiscal 2025. A 60% weighting is applied to quantitative performance factors and 40% is based on qualitative factors. The award could amount to a maximum of 120% of Mr. Kola's base salary based on the assessment of performance against both quantitative and qualitative targets.

Mr. Kola's maximum award represents 120% of his fiscal 2025 base salary, or $480,000.

Mr. Steven Heilbron

Mr. Heilbron's cash incentive award provides for an expected performance range cash incentive award of between 20% and 120% of his annual base salary of $400,000 for fiscal 2025. A 30% weighting is applied to quantitative performance factors and 70% is based on qualitative factors. The award could amount to a maximum of 120% of Mr. Heilbron's base salary based on the assessment of performance against both quantitative and qualitative targets.

Mr. Heilbron's maximum award represents 120% of his fiscal 2025 base salary, or $480,000.

Mr. Lincoln Mali

Mr. Mali's cash incentive award provides for an expected performance range cash incentive award of between 20% and 120% of his annual base salary of ZAR 7,500,000 for fiscal 2025. A 40% weighting is applied to quantitative performance factors and 60% is based on qualitative factors. The award could increase to a maximum of 120% of Mr. Mali's base salary, based on the assessment of performance against both quantitative and qualitative targets.

Mr. Mali's maximum award represents 120% of his fiscal 2025 base salary, or ZAR 9,000,000 ($509,915, translated at

The following information is furnished pursuant to Item 2.02, "Results of Operations and Financial Condition".

On May 9, 2023, Lesaka Technologies, Inc., a Florida corporation (the "Company"), issued a press release setting forth its financial results for the third quarter ended March 31, 2023. A copy of the press release is attached as Exhibit 99.1.

Item 4.01. Change in Registrant's Certifying Accountant.

South African mandatory audit firm rotation rules

The Audit Committee of the Board of Directors of Lesaka Technologies, Inc. ("Lesaka" or the "Company") embarked on a competitive bidding process to identify, evaluate and appoint a new independent accountant as its certifying accountant in South Africa to audit its consolidated annual financial statements for the year ended June 30, 2024. The Company's current independent registered public accounting firm, Deloitte & Touche ("Deloitte") in South Africa, is registered with the Public Company Accounting Oversight Board in the US, and is also registered with the Independent Regulatory Board for Auditors ("IRBA"), the South African auditor regulator. As prescribed by the IRBA, public interest entities with auditors registered with the IRBA are required to comply with mandatory audit firm rotation requirements which limits the period for which a registered auditor can serve as a company's auditor to no more than 10 years. Lesaka is therefore required to comply with these mandatory audit firm rotation rules which necessitates a change to Lesaka's certifying accountants for the year ended June 30, 2024.

On May 9, 2023, Lesaka's Audit Committee appointed, and the Company engaged, KPMG Inc. ("KPMG") in South Africa, an independent accountant, as its certifying accountant beginning July 1, 2023, the first day of Lesaka's 2024 fiscal year. At the same time, Lesaka's Audit Committee approved the dismissal of Deloitte, Lesaka's existing principal accountant, effective upon the completion of Deloitte's audit of Lesaka's consolidated financial statements for the fiscal year ended June 30, 2023.

Deloitte's reports on the Company's consolidated financial statements, which were included in the Company's Annual Reports on Form 10-K for the fiscal years ended June 30, 2022 and 2021, did not contain an adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles. Deloitte's reports on the Company's effectiveness of internal control over financial reporting, which were included in the Company's Annual Reports on Form 10-K for the fiscal years ended June 30, 2022 and 2021, did not contain an adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles.
