For the second half of 2026, Joby anticipates use of cash, cash equivalents and short-term investments to be between $385 million and $415 million.

●2026 Electric Skies Tour kicks off with landmark demonstrations in San Francisco and New York City: Timed to coincide with the United States' 250th anniversary, Joby launched its 2026 Electric Skies Tour in March with plans for flight demonstrations and other events across the U.S. Joby flew multi-leg journeys from its Marina, CA manufacturing base, past the Golden Gate Bridge and in and out of Oakland International Airport. In late April, the tour continued in New York City, where Joby completed the city's first-ever point-to-point electric vertical takeoff and landing (eVTOL) flights, departing from JFK International Airport and landing at three Manhattan heliports, the same heliports that served over 90,000 Blade passengers in 2025.

Composites production is now running at more than 2.5 times last year's volume, with parts in production for eight additional conforming aircraft including all remaining FAA-conforming aircraft slated for TIA. In Ohio, the company has initiated its first conforming propeller blade production and has expanded capacity to nearly double Joby’s previous manufacturing footprint to nearly 1.5 million sqft.

Item 1.01. Entry Into a Material Definitive Agreement.
Underwriting Agreements, Indenture and Notes
On January 28, 2026, Joby Aviation, Inc. (the “Company”) entered into an underwriting agreement (the “Common Stock Underwriting Agreement”) with certain underwriters (the “Common Stock Underwriters”) agreeing, subject to customary conditions, to issue and sell 52,863,437 shares of the Company’s common stock to the Common Stock Underwriters (the “Common Stock Offering”). In addition, pursuant to the Common Stock Underwriting Agreement, the Company granted the Common Stock Underwriters an option, which is exercisable within 30 days after January 28, 2026, to purchase up to an additional 7,929,515 shares of the Company’s common stock. The issuance of 52,863,437 shares of common stock was completed on February 2, 2026.
On January 28, 2026, the Company also entered into an underwriting agreement (the “Note Underwriting Agreement”) with certain underwriters (the “Note Underwriters”) agreeing, subject to customary conditions, to issue and sell $600,000,000 principal amount of the Company’s 0.75% Convertible Senior Notes due 2032 (the “Notes”) (the “Note Offering”) to the Note Underwriters. In addition, pursuant to the Note Underwriting Agreement, the Company granted the Note Underwriters an option, which was exercisable within 30 days after January 28, 2026, to purchase up to an additional $90,000,000 principal amount of Notes solely to cover over-allotments. On January 29, 2026, the Note Underwriters exercised such option to purchase an additional $90,000,000 principal amount of Notes. The issuance of $690,000,000 principal amount of Notes was completed on February 2, 2026. The Notes were issued pursuant to, and are governed by, an indenture (the “Base Indenture”), dated as of February 2, 2026, between the Company and Wilmington Trust, National Association, as trustee (the “Trustee”), as supplemented by a first supplemental indenture (the “Supplemental Indenture,” and the Base Indenture, as supplemented by the Supplemental Indenture, the “Indenture”), dated as of February 2, 2026, between the Company and the Trustee.
On January 28, 2026, the Company also entered into an underwriting agreement (the “Delta Offering Underwriting Agreement”) with Morgan Stanley & Co. LLC, as underwriter, relating to the offer and short sale of 5,286,343 shares of the Company’s common stock, borrowed from third parties in connection with the Note Offering to facilitate hedging transactions (whether physical sales and/or through privately negotiated derivatives transactions) by some of the investors in the Notes (the “Delta Offering”). Joby Reports Third Quarter 2025 Financial Results
Santa Cruz, CA – November 5, 2025 – Joby Aviation, Inc. (NYSE:JOBY), a company developing electric air taxis for commercial passenger service, today issued its Third Quarter 2025 Shareholder Letter detailing the company’s operational and financial results for the quarter ending September 30, 2025. Third Quarter 2025 highlights include:
●Final stage of certification: Joby has begun power-on testing of the first of several FAA-conforming aircraft to be built for Type Inspection Authorization (TIA). TIA testing is part of the final stage of the FAA Type Certification process and the company can now begin conducting thousands of hardware and software tests in preparation for “for credit” flight testing with FAA test pilots operating the aircraft.
●Maturing flight operations: Joby has already conducted over 600 flights in 2025, along with thousands of ground-based tests. The company completed its first point-to-point flight from Marina to Monterey, demonstrating its commercial market readiness and ability to operate in shared airspace. The company also completed two full weeks of regularly scheduled flights in Osaka, as part of World Expo 2025, demonstrating the aircraft to hundreds of thousands of attendees, and participated in its first public U.S. airshow in Salinas, California.
●White House support for eVTOL: The eVTOL Integration Pilot Program (“eIPP”), established by Executive Order, is designed to allow mature aircraft designs to demonstrate eVTOL use cases, such as passenger transportation, cargo delivery, and emergency response, ahead of achieving Type Certification and presents a remarkable opportunity for Joby to introduce its technology to communities across America. Joby is actively engaged with a wide range of state and local governments across the country who are submitting applications for eIPP projects.
●Scaling production capacity: Joby added more than 100 manufacturing roles and has now begun production of propeller blades at its facility in Dayton, Ohio, marking the first phase of its scaled production strategy. The company has already produced 15 times more type design conforming parts than it did in all of 2024.
●Commercial readiness: The recently-acquired Blade passenger service transported approximately 40,000 passengers during the quarter, including Ryder Cup fans, who replaced two-and-half hour drives with 12 minute flights. Joby also expanded its global partnership with Uber to incorporate Blade’s services directly into the Uber app, providing an opportunity to connect millions of daily Uber users with the potential of vertical lift ahead of Joby’s commercial launch.
●Future technology platform: Just three months after announcing its partnership with L3Harris, Joby began ground testing the hybrid-electric autonomous aircraft it is developing for U.S. Defense purposes. Joby also successfully demonstrated its autonomous flight technology, Superpilot™, during a major defense exercise over the Pacific Ocean. Superpilot™ logged more than 7,000 miles of autonomous operations across more than 40 flight hours in the skies above Hawaii. Joby’s adoption of the NVIDIA IGX Thor platform will enable further advancement of autonomous flight technology by providing the company with access to sector-leading, industrial-grade compute power.
●Strong balance sheet: Joby ended the quarter with $978.1 million in cash, cash equivalents, and investments in marketable securities. Additionally, in October 2025, the company completed an underwritten equity offering. Net proceeds from the offering were approximately $576 million and are expected to be used to support certification and manufacturing efforts, prepare for commercial operations, and provide general working capital and other corporate purposes.

Second Quarter 2025 Highlights include:
●Commencing Final Assembly of first TIA Aircraft: Joby is preparing for final assembly of the first of several conforming aircraft intended for Type Inspection Authorization flight testing. Joby expects its pilots to start flying this aircraft in 2025, with FAA pilots following shortly thereafter to directly evaluate the aircraft’s performance and safety. This testing is central to the certification process and forms a key part of the fifth, and final, stage of the type certification process.
●Certification Progress: Joby is now 70 percent complete on its side of stage four of its Federal Aviation Administration (FAA) type certification program, and more than 50 percent complete
on the FAA side (up 10 points from the first quarter of 2025).
●Dubai Flight Testing: Joby completed 21 full-transition flights in a multi-week campaign in Dubai this summer to validate commercial readiness. The campaign validated several aspects of commercial market readiness in real-world conditions, spanning maintenance, logistics, aircraft capabilities and infrastructure.
●New Defense Opportunities: The company announced a new collaboration with L3Harris to develop a gas turbine hybrid variant of its existing aircraft to pursue low-altitude defense opportunities. The collaboration combines Joby’s existing commercial aircraft development program and leading manufacturing capabilities with L3Harris’ proven expertise on platform missionization. Joby plans to start flight testing this fall and perform operational demonstrations during government exercises in 2026.
●Accelerating commercialization: Joby entered a definitive agreement to acquire Blade Air Mobility, Inc.’s passenger business. The planned acquisition is expected to unlock immediate market access and infrastructure across key urban corridors in New York City and Southern Europe. In addition, new agreements with Abdul Latif Jameel and ANA will explore deployment of approximately 300 aircraft.
●Strong Balance Sheet: Joby ended the quarter with $991M of cash and short-term investments. The Company also closed on the first $250 million tranche of its previously announced $500 million strategic investment from Toyota.
●Expanded Manufacturing Facility: Joby completed the expansion of its Marina, California manufacturing site, which now spans 435,000 total square feet. With this additional space, the Company plans to double its production capacity at this site to 24 aircraft per year. At the same time, Joby’s newly renovated facility in Dayton, Ohio is coming online to support the manufacturing and testing of critical aircraft components. Over time, the Dayton facility is expected to be capable of producing up to 500 aircraft per year.

First Quarter 2025 Highlights include:

(NYSE:JOBY), a next-generation aviation company, today announced it has rolled its third production prototype aircraft off the company’s pilot production line in Marina, CA, with four aircraft expected to be in active flight test during the next quarter. Fourth Quarter 2023 Highlights:
●Certification and Testing. With Stage 3 complete and all of our certification plans accepted, our focus is now on completing for-credit testing with the FAA. We successfully completed 30 for-credit pathfinder tests during the quarter. We now have four conforming manufacturing lines established.
●Preparing for Operations. We worked with the FAA to complete precision landing tests, worked with NASA to simulate airspace management and received our Part 145 Repair Station Certificate from the FAA.
●New York City Piloted Flight. The iconic Downtown Manhattan Heliport served as the base for the first ever electric air taxi flight in New York City. The flight was part of a press conference hosted by Mayor Eric Adams, where he announced the city’s plan to electrify the heliport.
●Exclusivity in Dubai. We signed a definitive agreement with the government of Dubai that grants Joby exclusive rights to operate air taxis in the Emirate for six years. The agreement includes financial support and identifies a regulatory pathway to enable early operations.
●Strong Financial Foundation. At the end of the fourth quarter of 2023, we had $1.0 billion in cash and short-term investments. Net cash used in operating activities and purchases of property, plant and equipment totaled $91 million in the fourth quarter. For the full year, cash used in operating activities and purchases of property, plant and equipment totaled $344 million.
●2024 Outlook. Our priority in 2024 will be progressing the certification and manufacturing of our aircraft. We expect to increase our focus on commercialization as we prepare to enter commercial service in 2025. During the year, we plan to extend our flight exhibition series to additional key markets and expand our engagement with the Department of Defense by committing at least two more aircraft as part of our existing contract. We also expect to begin component manufacturing in Dayton, Ohio, and to break ground on expanding our low-volume manufacturing plant in Marina, California. We estimate that our use of cash, cash equivalents and short-term investments during 2024 will range between $440 – $470 million.
