On February 7, 2025, Thomas J. Burgomaster, Vice President, Corporate Controller and Chief Accounting Officer (including its Principal Accounting Officer) of the Company, informed the Company of his intention to retire from his position with the Company effective March 1, 2025. On February 7, 2025, the Board of Directors (the "Board") of the Company appointed the Company's Vice President, Finance, Mary E. Buttarazzi, to assume the role of the Company's Vice President, Corporate Controller and Chief Accounting Officer (including its Principal Accounting Officer) effective upon Mr. Burgomaster’s retirement on March 1, 2025. Ms. Buttarazzi, age 49, has over 25 years of finance and accounting leadership with extensive management experience. Prior to joining IPG as Vice President of Finance in January 2025, Ms. Buttarazzi served as the Chief Accounting Officer, Corporate Controller of Orbia Advance Corporation, S.A.B. de C.V., a chemical manufacturing company, from December 2021 to January 2025. From November 2019 to December 2021, Ms. Buttarazzi served as the Corporate Controller of Akamai Technologies, Inc., a leading cybersecurity and cloud computing solutions provider. Prior to that, Ms. Buttarazzi held various management positions at Cabot Corporation and Ernst & Young LLP. Ms. Buttarazzi's compensation arrangements with the Company were unchanged as a result of the appointment. Ms. Buttarazzi will be eligible to continue participating in the Company’s employee benefit plans and programs generally available to its employees. Ms. Buttarazzi does not have family relationships with any of the Company’s directors or executive officers. Ms. Buttarazzi has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.

Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On July 28, 2023, the Board of Directors (the "Board") of the Company increased the size of the Board from ten to eleven members and appointed Kolleen Kennedy as a director to fill the vacancy resulting from that increase, effective August 1, 2023. The initial term as director for Ms. Kennedy will expire at the Company’s 2024 annual meeting of stockholders.
As a non-employee director, Ms. Kennedy will receive a $40,000 annual retainer for her service on the Board, paid in monthly installments, and participate in the Company's Non-Employee Director Compensation Plan (the “Non-Employee Director Plan”). Upon her appointment, Ms. Kennedy received an initial grant of restricted stock units ("RSUs") with a value of approximately $250,000 under the Non-Employee Director Plan. The RSUs vest on the first anniversary of the date of grant. In connection with her appointment, the Company and Ms. Kennedy will enter into the Company’s standard indemnification agreement for directors.
Ms. Kennedy is not a party to any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K. There were no arrangements or understandings pursuant to which Ms. Kennedy was selected as a director.

Other Events Certain directors and officers of the Company adopt from time to time pre-arranged trading plans (each, a “Plan”) designed to comply with Rule 10b5-1 under the Securities Exchange Act of 1934, as amended, and the Company’s policies regarding stock transactions. Under Rule 10b5-1, directors, officers and other persons who are not in possession of material non-public information may adopt a plan or contract for pre-arranged sales of Company securities under specified conditions and at specified times. Using these Plans, insiders can gradually diversify their investment portfolios, spread stock trades out over an extended period of time to reduce market impact and avoid concerns about transactions occurring at a time when they might possess inside information. The Plan adopted by Thomas Burgomaster, Vice President, Corporate Controller, provides for the sale of up to 6,220 shares, including shares acquired upon exercise of stock options, over a period ending July 2022, unless terminated sooner in certain circumstances. Shares will be sold under the Plan on the open market at prevailing market prices, subject to minimum price thresholds. On November 2, 2021, IPG Photonics Corporation (the "Company") announced that effective October 29, 2021, John Peeler, Lead Independent Director of the Company, assumed the role of non-executive Chairman of the Board of Directors (the “Board”). Mr. Peeler was appointed to the Board in 2012 and has served as Lead Independent Director since 2017. Mr. Peeler succeeds the late Dr. Valentin P. Gapontsev, founder of the Company, who had been appointed executive Chairman of the Board after the roles of Chairman and CEO were separated in May 2021. With the appointment of Mr. Peeler, the Company does not currently intend to fill the role of Lead Independent Director, as the functions of such position will be included in and fulfilled by the non-executive Chairman position. Additionally, following the vacancy created by the recent passing of Dr. Gapontsev, on October 29, 2021, the Company decreased the size of its Board to eight. As a result, there is no vacancy on the Board.
Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On October 29, 2021, the Board amended and restated the Company’s amended and restated Bylaws, dated August 18, 2020 (the “Amended and Restated Bylaws”) primarily to adopt the title of Chair in place of Chairman while allowing flexibility to utilize the term of choice, clarify the roles and reporting of the Chair and Chief Executive Officer, clarify the roles of Lead Independent Director (if any) and executive officers at stockholder and Board meetings in the absence of the Chair, and make additional clarifying and conforming revisions.
The Amended and Restated Bylaws are effective October 29, 2021. Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Principal Officers. On May 4, 2021, the Company announced that Valentin P. Gapontsev, Ph.D., has transitioned to the role of Executive Chair and will continue to serve as a director of the Company. Eugene A. Scherbakov, Ph.D., currently Chief Operating Officer, Managing Director of IPG Laser GmbH, Senior Vice President, Europe and Director, succeeds Dr. Gapontsev as the Company’s Chief Executive Officer effective immediately. Dr. Scherbakov has served as Managing Director of IPG Laser GmbH, IPG’s German subsidiary, since August 2000, Senior Vice President-Europe since February 2013 and Chief Operating Officer since February 2017. Dr. Scherbakov has also been a member of the Company’s board of directors (the “Board”) since 2000 and will continue as a director. On May 4, 2021, the Company amended the employment agreement with Dr. Gapontsev to reflect his new role and title. On the same day, the Company entered into a new service agreement between Dr. Scherbakov and IPG Laser GmbH and entered into a secondment agreement with Dr. Scherbakov to reflect Dr. Scherbakov’s new role, title, compensation and responsibilities at the Company. The agreements with Dr. Gapontsev and Dr. Scherbakov expire December 31, 2022, and renew annually for a period of one year unless the Company or the executive gives notice of intent not to renew at least 180 days before the expiration of the then current term. Dr. Scherbakov, as CEO, will receive an annual base salary of $850,000, and his annual incentive target (financial plus individual performance) under the Company’s Senior Executive Annual Incentive Plan will increase to 110% of his base salary, with the financial performance minimum, target and maximum payout increasing to 20.75%, 83% and 221% of base salary, respectively, and the individual performance maximum payout increasing to 27.5% of base salary.
