Executive Officer Compensation
Supplementary Short Term Incentive Plan In addition, on November 20, 2025, the Compensation Committee approved a Supplementary Short Term Incentive Plan (“SSTIP”) award for Mr. Simmes for fiscal year 2026. Under the SSTIP, Mr. Simmes is eligible for a cash bonus opportunity based on the Company’s comprehensive income before provision for income taxes and excluding employee stock compensation expense (“Adjusted Income”). Mr. Simmes will receive a cash bonus equal to 1.0% of the amount, if any, by which the Company’s Adjusted Income for fiscal year 2026 exceeds 85% of the Company’s target Adjusted Income for fiscal year 2026, and he will receive an additional cash bonus equal to 1% of the amount, if any, by which the Company’s Adjusted Income for fiscal year 2026 exceeds 100.0% of the Company’s target Adjusted Income for fiscal year 2026. The maximum payout to Mr. Simmes under the SSTIP for fiscal year 2026 is $5,000,000.

Executive Officer Compensation
Discretionary Bonuses On November 21, 2024, the Human Resources and Compensation Committee (the “Compensation Committee”) of the Company’s Board of Directors approved special cash bonuses to be paid to each of the Company’s executive officers in recognition of their efforts with respect to the Company’s performance during the fiscal year ended September 30, 2024. Jeffrey L. Gendell, the Company’s Chairman and Chief Executive Officer, was awarded a special bonus of $1,500,000. Matthew J. Simmes, the Company’s President and Chief Operating Officer, was awarded a special bonus of $2,285,000. Tracy McLauchlin, the Company’s Senior Vice President, Chief Financial Officer and Treasurer, was awarded a special bonus of $300,000. Mary Newman, the Company’s Vice President, General Counsel and Corporate Secretary, was awarded a special bonus of $200,000.
Supplementary Short Term Incentive Plan In addition, on November 21, 2024, the Compensation Committee approved a Supplementary Short Term Incentive Plan (“SSTIP”) award for Mr. Simmes for fiscal year 2025. Under the SSTIP, Mr. Simmes is eligible for a cash bonus opportunity based on the Company’s comprehensive income before provision for income taxes and excluding employee stock compensation expense (“Adjusted Income”). Mr. Simmes will receive a cash bonus equal to 1.0% of the amount, if any, by which the Company’s Adjusted Income for fiscal year 2025 exceeds 62.5% of the Company’s target Adjusted Income for fiscal year 2025, and he will receive an additional cash bonus equal to 1.5% of the amount, if any, by which the Company’s Adjusted Income for fiscal year 2025 exceeds 100.0% of the Company’s target Adjusted Income for fiscal year 2025. The maximum payout to Mr. Simmes under the SSTIP for fiscal year 2025 is $7,500,000.

Special Equity Grants Also on November 21, 2024, the Compensation Committee approved the grant to Mr. Gendell, Mr. Simmes, Ms. McLauchlin and Ms. Newman of special equity incentive awards of 50,000, 40,000, 6,000 and 5,000, respectively, time-based phantom stock units (the “PSUs”). Officer Appointment
On December 7, 2023, the Company announced the promotion of Matthew J. Simmes, the Company’s Chief Operating Officer, to the position of President, effective as of December 7, 2023. As President and Chief Operating Officer, Mr. Simmes will continue to manage the operations of all four of the Company’s operating segments, reporting directly to Jeffrey L. Gendell, the Company's Chairman and Chief Executive Officer.
Information regarding Mr. Simmes’ background, business experience and compensation is incorporated by reference from the definitive proxy statement on Schedule 14A for the Company’s 2023 Annual Meeting of Stockholders, which was filed with the U.S. Securities and Exchange Commission on January 9, 2023.
In connection with his promotion, the Human Resources and Compensation Committee (the “Compensation Committee”) of the Company’s Board of Directors granted Mr. Simmes an equity incentive award of 25,000 time-based phantom stock units that are scheduled to vest on or about December 7, 2026, under the Company’s Amended and Restated 2006 Equity Incentive Plan, pursuant to an award agreement, the form of which is attached hereto as Exhibit 10.1 and incorporated herein by reference (the “Award Agreement”).
Executive Officer Compensation
On November 30, 2023, the Compensation Committee approved special bonuses to be paid to each of the Company’s executive officers in recognition of their efforts with respect to the reorganization of the Company’s Residential segment during the fiscal year ended September 30, 2023. Mr. Gendell was awarded a special bonus of $100,000. Mr. Simmes was awarded a special bonus of $400,000 and a grant of time-based phantom stock units with a grant date fair value of $400,000 that are scheduled to vest on or about December 7, 2026, pursuant to an Award Agreement. Tracy McLauchlin, Senior Vice President, Chief Financial Officer and Treasurer was awarded a special bonus of $100,000. Mary Newman, Vice President, General Counsel and Corporate Secretary was awarded a special bonus of $75,000.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Officer Appointment
On December 3, 2021, the Company announced the appointment of Matthew J. Simmes, 46, as Chief Operating Officer of the Company, effective as of December 3, 2021. Mr. Simmes has spent 28 years at IES and its predecessors in a variety of roles. Prior to becoming President of IES Communications in January 2017, he was the segment’s Vice President of Operations from March 2007 to December 2016 and branch manager of its Arizona operations from 2003 to 2006.
On December 3, 2021, the Company entered into a letter agreement (the “Letter Agreement”), which is attached hereto as Exhibit 10.1 and incorporated herein by reference, with Mr. Simmes to memorialize the terms of his continued employment with the Company. The Human Resources and Compensation Committee (the “Compensation Committee”) of the Company’s Board of Directors approved the terms of Mr. Simmes’ compensation for the fiscal year ending September 30, 2022 (“Fiscal Year 2022”), as set forth in the Letter Agreement.
In accordance with the Letter Agreement, Mr. Simmes will receive a base salary at an annual rate of $600,000 and will be eligible to participate in certain of the Company’s benefit plans, including the Company’s Second Amended and Restated Executive Officer Severance Benefit Plan. Mr. Simmes will also be eligible to receive an annual short-term incentive award under the Company’s Short-Term Incentive Plan (incorporated by reference to Exhibit 10.1 to the Company’s Current Report on Form 8-K filed March 5, 2019 and incorporated by reference herein, the “STIP”). For Fiscal Year 2022, Mr. Simmes’ target STIP award, which is based, in part, on Company performance and, in part, on achievement of individual goals, is set at 100% of his base salary, pro-rated to reflect 10 months of employment as Chief Operating Officer during fiscal year 2022, and the STIP award paid out shall be no less than 100% of his target STIP award, with a maximum possible payout of approximately 167% of his target STIP award.
In accordance with the Letter Agreement, Mr. Simmes was also granted a long-term incentive award pursuant to the Company’s Long-Term Incentive Plan Annual Grant Program, as amended and restated effective as of December 4, 2019 (incorporated by reference to Exhibit 10.1 to the Company’s Current Report on Form 8-K filed December 6, 2019 and incorporated by reference herein, the “LTIP”). For Fiscal Year 2022, Mr. Simmes’ LTIP award comprises performance-based and time-based phantom stock units with a fair value on December 3, 2021, the date of grant, of $600,000
