Richardson, TX, August 12, 2026 (GLOBE NEWSWIRE) - Fossil Group, Inc. (NASDAQ: FOSL) today announced financial results for the fiscal second quarter ended July 4, 2026.

Second Quarter 2026 Operating Results

Amounts referred to as “adjusted” as well as “constant currency” are non-GAAP financial measures. Reconciliations of these non-GAAP financial measures to their closest reported GAAP measures are included at the end of this press release.

•Net sales totaled $209.7 million, a decrease of 4.9% on a reported basis and 4.4% in constant currency, compared to $220.4 million in the second quarter of fiscal 2025. The sales decrease was driven by the direct to consumer channels, with our store rationalization initiatives comprising approximately 220 basis points of the sales decline in the second quarter. From a regional view in constant currency, Europe net sales decreased 18.2%, Asia increased 3.7% and the Americas increased 0.2%. Wholesale sales in constant currency increased 0.9%, while our direct to consumer sales decreased 14.6%. Within our direct to consumer channels, which include e-commerce and Fossil retail stores, comparable retail sales declined 8%. In our major product categories, traditional watch sales decreased 0.9% in constant currency in the second quarter compared to the prior year period. The leathers category decreased 31.4% and jewelry sales declined 11.3% in constant currency during the second quarter.

•Gross profit totaled $130.8 million compared to $126.7 million in the second quarter of 2025. Gross margin increased 490 basis points to 62.4% versus 57.5% in the second quarter of 2025. The year-over-year increase primarily reflects improved product margins in our core categories driven by benefits from our full price selling model, sourcing initiatives and reduced tariffs. This increase was partially offset by the accelerated timing of licensed brand minimum royalty recognition as compared to the prior year.

•Operating expenses totaled $127.6 million, an increase of 7.9% compared to $118.2 million a year ago. As a percentage of net sales, operating expenses were 60.8% in the second quarter of 2026 compared to 53.7% in the prior year second quarter. Operating expenses in the second quarter of 2026 included $3.4 million of restructuring costs, primarily related to professional services and employee costs, while operating expenses in the second quarter of 2025 included $7.3 million of restructuring costs. SG&A expenses were $123.5 million, an increase of 11.3% compared to the second quarter of 2025, primarily due to an $11 million gain on the sale of our European warehouse in the prior year second quarter. As a percentage of net sales, SG&A expenses were 58.9% in the second quarter of 2026 compared to 50.3% in the prior year second quarter.

•Operating income (loss) was $3.2 million compared to $8.5 million in the second quarter of 2025. Operating margin was 1.5% in the second quarter of 2026 compared to 3.9% in the prior year second quarter. Constant currency adjusted operating income totaled $8.6 million compared to adjusted operating income of $4.3 million in the second quarter of 2025. Constant currency adjusted operating margin was 4.1% in the second quarter of 2026 compared to adjusted operating margin of 2.0% in the prior year second quarter.

First Quarter 2026 Operating Results

•Net sales totaled $224.8 million, a decrease of 3.6% on a reported basis and 6.5% in constant currency compared to $233.3 million in the first quarter of fiscal 2025. Sales were unfavorably impacted by 690 basis points as a result of the fiscal 2026 first quarter including 13 weeks as compared to 14 weeks in the prior year quarter. Our store rationalization initiatives and declines in our smartwatch sales comprised approximately 280 basis points of the sales decline in the first quarter. Net sales, in constant currency, declined 14% in Europe, 3% in the Americas, and 1% in Asia. Wholesale sales increased 5% while our direct to consumer sales decreased 29%, each on a constant currency basis. Within our direct to consumer channels, comparable retail sales declined 15%. In our major product categories, traditional watch sales were approximately flat in constant currency in the first quarter compared to the prior year period. The leathers category decreased 41% and jewelry sales declined 14% in constant currency during the first quarter. From a brand lens, ARMANI EXCHANGE, MICHAEL KORS and DIESEL increased while FOSSIL brand sales in constant currency decreased 17% in the first quarter.

•Gross profit totaled $134.7 million compared to $143.0 million in the first quarter of 2025. Gross margin decreased 140 basis points to 59.9% versus 61.3% a year ago. The year-over-year decrease in the first quarter as compared to the prior year primarily reflects increased tariffs and the accelerated timing of licensed brand minimum royalty recognition. This decrease was partially mitigated by tariff refund claims

recorded during the current year, which contributed positively to the margin by $4.0 million, including $2.8 million related to tariffs incurred in fiscal year 2025.

•Operating expenses totaled $122.7 million, down 18.1% compared to the prior year period. As a percentage of net sales, operating expenses were 54.6% in the first quarter of 2026 compared to 64.2% in the prior year first quarter. Operating expenses in the first quarter of 2026 included $2.0 million of restructuring costs, primarily related to employee costs and professional services, while operating expenses in the first quarter of 2025 included $15.8 million of restructuring costs. SG&A expenses were $120.6 million, down 9.9% compared to the first quarter of 2025. As a percentage of net sales, SG&A expenses were 53.6% in the first quarter of 2026 compared to 57.4% in the prior year first quarter, largely driven by cost reductions and efficiencies gained through our restructuring programs. SG&A also benefited from tariff refund claims recorded during the first quarter, decreasing SG&A by $0.9 million, including $0.8 million related to tariffs incurred in fiscal year 2025.

Fourth Quarter 2025 Operating Results

•Net sales totaled $280.5 million, a decrease of 18.1% on a reported basis and 19.8% in constant currency compared to $342.3 million in the fourth quarter of fiscal 2024. The year-over-year decline was largely driven by the Company’s return to a full price selling model, as well as the previously disclosed shift of certain wholesale shipments from the fourth quarter into the third quarter of 2025. Additionally, store rationalization initiatives comprised approximately four points of the sales decline in the fourth quarter of 2025. Net sales, in constant currency, decreased 23% in the Americas, 20% in Asia and 14% in Europe versus the same quarter last year. Wholesale sales declined 12%, while our direct to consumer sales declined 31% on a constant currency basis. Within our direct to consumer channels, comparable retail sales declined 26%. In our major product categories, traditional watch sales declined 16% in constant currency in the fourth quarter of 2025 compared to the prior year period. The leathers category decreased 37% and jewelry sales declined 28% in constant currency during the fourth quarter of 2025. From a brand lens, the majority of the brands in our portfolio decreased in the fourth quarter. FOSSIL brand sales decreased 24% in constant currency during the fourth quarter of 2025.

•Gross profit totaled $161.0 million compared to $184.6 million in the fourth quarter of 2024. Gross margin increased 350 basis points to 57.4% versus 53.9% a year ago. The year-over-year increase was primarily due to improved product margins in our core categories driven by benefits from our full price selling model and sourcing initiatives.

•Operating expenses totaled $160.1 million compared to $200.9 million a year ago. As a percentage of net sales, operating expenses were 57.1% in the fourth quarter of 2025 compared to 58.7% in the prior year fourth quarter. Selling, general and administrative (“SG&A”) expenses were $148.4 million compared to $172.1 million in the fourth quarter of 2024, a reduction of 13.7%. As a percentage of net sales, SG&A expenses were 52.9% in the fourth quarter of 2025 compared to 50.3% in the prior year fourth quarter, largely driven by deleveraging on lower sales.

•Operating income was $0.9 million compared to an operating loss of $16.3 million in the fourth quarter of 2024. Operating margin was 0.3% in the fourth quarter of 2025 compared to (4.8)% in the prior year fourth quarter. Constant currency adjusted operating income totaled $11.4 million compared to adjusted operating income of $20.1 million in the fourth quarter of 2024. Constant currency adjusted operating margin was 4.2% in the fourth quarter of 2025 compared to adjusted operating margin of 5.9% in the prior year fourth quarter.
