Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On February 22, 2024, Floor & Decor Holdings, Inc. (the “Company”) announced that, effective as of February 22, 2024, it has appointed David Christopherson to serve as its Executive Vice President, Chief Administrative Officer & Chief Legal Officer. Mr. Christopherson previously served as the Executive Vice President, Secretary and General Counsel of the Company. Mr. Christopherson, 49, joined the Company as General Counsel and Secretary in 2013, and was promoted to Senior Vice President in 2015 and Executive Vice President in 2018. He served as the Vice President, General Counsel and Secretary of Teavana Holdings, Inc. from 2011 to 2013, and the Deputy General Counsel of Swett & Crawford from 2007 to 2011. Previously, he was an attorney with the law firms King & Spalding and Sullivan & Cromwell. Mr. Christopherson received an A.B. in Political Science from Davidson College and a J.D. from Harvard Law School. In connection with his appointment, on February 22, 2024, the Company, Floor and Decor Outlets of America, Inc. (“F&D”) and Mr. Christopherson entered into an Addendum (the “Addendum”) to the Second Amended and Restated Employment Agreement, dated as of February 3, 2020, as modified by the addenda dated March 26, 2020 and August 1, 2023, each by and between the Company, F&D and Mr. Christopherson (the “Employment Agreement”). Pursuant to the terms of the Addendum, Mr. Christopherson’s base salary and target bonus percentage were increased, with the other material terms and conditions of the Employment Agreement generally remaining unchanged. On February 22, 2022, the Board of Directors of the Company announced that it intends to enter into a consulting agreement with Lisa G. Laube, the President of the Company, whereby Ms. Laube will provide transition services to the Company for a specified period of time following her previously announced retirement.

Laube, the President of Floor & Decor Holdings, Inc. (the “Company”) informed the Company that she intends to retire on April 30, 2022. Ms. Laube joined the Company as Executive Vice President and Chief Merchandising Officer in 2012 and was promoted to President in February 2020. Tom Taylor, Chief Executive Officer, remarked, “Lisa has been a critical part of Floor & Decor’s success and growth over the last decade. I can’t thank her enough for her leadership, vision and friendship over these past many years. Her influence can be seen in each of our stores, and I look forward to working with her on a smooth transition before she retires next year.”
