On January 27, 2026, Norman Montgomery, Executive Vice President and Business Integration Group Manager of the Company and First Commonwealth Bank, notified the Company that he intends to retire on May 1, 2026.

On January 27, 2026, the Company announced a cash dividend of $0.135 per share of the Company’s common stock. The dividend declaration is included in the press release announcing financial results for the three and twelve month periods ended December 31, 2025. On January 27, 2026, the Company announced that its Board of Directors authorized an additional $25.0 million share repurchase program of the Company's common stock. Under the program, management is authorized to repurchase shares through Rule 10b5-1 plans, open market purchases, privately negotiated transactions, block purchases or otherwise in a manner that is intended to comply with applicable federal securities laws, including Rule 10b-18 of the Securities Exchange Act of 1934.
