Gamsey as Executive Vice President and Chief Financial Officer of the Company On August 5, 2024, David L. Gamsey notified the Company of his intent to retire from his position as Executive Vice President and Chief Financial Officer, effective November 8, 2024. Mr. Gamsey will continue to be employed by the Company and serve as an Executive Vice President in a transitional role until December 1, 2024, at which time he will retire from the Company. On August 7, 2024, the Company entered into a retirement agreement and general release of all claims with Mr. Gamsey (the “Retirement Agreement”), pursuant to which Mr. Gamsey’s employment will end on December 1, 2024. Under the terms of the Retirement Agreement, Mr. Gamsey’s existing compensation arrangements will be modified by: •Accelerating the vesting of Mr. Gamsey’s outstanding and unvested equity awards, consisting of 189,960 unvested restricted stock awards and 187,582 unvested stock options to December 1, 2024, allowing for cashless exercise of his stock options, and extending the exercise period of his stock options from 30 days after termination to a period of 180 days after termination;
•Agreeing to pay any Management Incentive Compensation Plan annual bonus for the full 2024 calendar year at an amount that Mr. Gamsey would have received if he remained employed with the Company through the payment date; and,
•Agreeing to pay any bonuses related to the pending acquisition of Sterling Check Corp. in an amount determined by the Company that is consistent with Mr. Gamsey’s former position as Chief Financial Officer.
Additionally, in consideration for the foregoing benefits, Mr. Gamsey agreed to generally release the Company from claims through the execution date of the Retirement Agreement and to re-execute a release as of December 1, 2024.

On May 11, 2022, the Board of Directors of the Company appointed Joelle M. Smith as President, Data, Technology, and Experience, effective May 11, 2022.
Ms. Smith, 46, prior to her appointment, served as the Chief Experience Officer of the Company since January 2020. Prior to that role, she served as Executive Vice President, Resident and Investigative Research of the Company from July 2017 to December 2019. Before joining the Company, Ms. Smith held various roles as vice president at Mindtree from July 2012 to July 2017. Ms. Smith holds a Bachelor of Science from East Stroudsburg University of Pennsylvania.
In connection with her promotion, Ms. Smith’s annual base salary was increased to $460,000. Ms. Smith may also receive an annual cash bonus of up to 50% of her annual base salary and is expected to receive equity awards having a fair value equal to $5,200,000, comprised of approximately two-thirds stock options and approximately one-third restricted stock units, with each grant vesting annually in four equal installments based on her promotion date of May 11, 2022. The exact number of stock options and restricted stock units subject to the awards will be determined on May 12, 2022 based on the prior twenty day average closing price of the Company’s common stock in the case of the restricted stock units and using a Black-Scholes valuation for the stock options. The per share exercise price of the stock options will be the closing price on May 12, 2022.
There are no arrangements or understandings between Ms. Smith and any person pursuant to which she was selected as President, Data, Technology, and Experience. Ms. Smith has no family relationships with any director or executive officer of the Company. There are no transactions involving Ms. Smith that would be required to be reported under Item 404(a) of Regulation S-K.

Explanatory Note
This Amendment No. 1 on Form 8-K/A (this “Form 8-K/A”) is an amendment to the Current Report on Form 8-K of First Advantage Corporation (the “Company”), filed on August 12, 2021 (the “Original Form 8-K”). Following the initial filing of the Original Form 8-K, the Company discovered that the wrong item was inadvertently tagged in the submission (Item 2.01 rather than Item 2.02). The Company is amending the Original Form 8-K to include the correct item tag. No disclosure has changed from the Original Form 8-K as a result of this error.
