Item 1.01 Entry into a Material Definitive Agreement.
On March 3, 2026, Evolus, Inc. (the “Company”) entered into a Loan and Security Agreement (the “Loan Agreement”) with Eclipse Business Capital LLC, as administrative agent (the “Agent”) and the lenders party thereto.
The Loan Agreement provides for a senior secured asset-based revolving credit facility of up to $30.0 million (the “Revolving Credit Facility”), subject to a borrowing base formula based on eligible accounts receivable and eligible inventory, in each case reduced by customary reserves. The Revolving Credit Facility includes an uncommitted accordion feature of up to $10.0 million, exercisable subject to lender consent and other conditions. The Revolving Credit Facility is subject to a minimum utilization requirement of $10.0 million and matures on March 3, 2029.
Borrowings under the Revolving Credit Facility bear interest at a rate equal to adjusted term secured overnight financing rate (“SOFR”) (subject to a floor of 2.0%) plus an applicable margin of 4.25%, which is subject to downward adjustments based on certain coverage ratio and excess availability. The Revolving Facility and the Accordion Facility are subject to a closing fee equal to 1.0% and prepayment fees equal to 3.0% during the first year, 2.0% during the second year, and zero percent thereafter, subject to certain exceptions.
All obligations of the Company under the Loan Agreement are secured by substantially all of the assets of the Company, subject to customary exceptions.
The Loan Agreement requires the Company to maintain minimum excess availability at all times and limits capital expenditures. The Loan Agreement contains customary representations and warranties, affirmative and negative covenants and events of default, including cross-defaults to other material indebtedness, bankruptcy and insolvency-related events and a change of control. Upon the occurrence and continuation of an event of default, the Agent may terminate the commitments, accelerate all outstanding obligations and exercise remedies with respect to the collateral.

Appointment of David Moatazedi as Principal Financial Officer
On August 1, 2025, the Company's Board of Directors appointed David Moatazedi, the Company’s President and Chief Executive Officer, to serve as Principal Financial Officer of the Company until a new Principal Financial Officer is appointed.
There is no additional compensation associated with Mr. Moatazedi’s appointment to Principal Financial Officer. Biographical information for Mr. Moatazedi and information regarding certain related party transactions disclosable pursuant to Item 404(a) of Regulation S-K involving Mr. Moatazedi are reported in the Company's Proxy Statement on Schedule 14A filed with the SEC on April 25, 2025.
Mr. Moatazedi has no family relationships with any director or executive officer of the Company, and there are no arrangements or understandings with any person pursuant to which he will be selected as an officer of the Company.
Departure of Chief Marketing Officer
On August 4, 2025, the Company announced the departure of Tomoko Yamagishi-Dressler from her role as the Chief Marketing Officer of the Company, effective as of August 22, 2025. Mrs. Yamagishi-Dressler’s departure was mutually agreed to with the Company and did not result from any disagreement with the company on any matter relating to the Company’s operations, policies or practices.
In connection with her departure, Mrs. Yamagishi-Dressler is entitled to receive severance benefits consistent with the terms of her employment agreement with the Company, which was filed as Exhibit 10.2 to the Company’s Quarterly Report on Form 10-Q filed on November 7, 2023. No other compensatory arrangements were entered into or amended in connection with her separation.

Item 1.01 Entry into a Material Definitive Agreement. Dermal Filler License Agreement On May 9, 2023, Evolus, Inc. (the “Company”) and Symatese S.A.S (“Symatese”), entered into a License, Supply and Distribution Agreement (the “Agreement”), pursuant to which Symatese granted to the Company an exclusive right to commercialize and distribute its five dermal filler product candidates,which are referred to as: (i) Lift; (ii) Smooth; (iii) Sculpt; (iv) Lips; and (v) Eye (each, a “Product” and collectively, the “Products”) in the United States for use in the aesthetics and dermatological fields (the “Field”). The Company also has the right of first negotiation to obtain a license from Symatese to commercialize and distribute any new products developed using the same technology as the Products in the Field in the United States. As consideration for the rights granted under the Agreement, the Company is required to make up to €16.2 million in milestone payments to Symatese, including an initial payment of €4.1 million within 30 days of execution of the Agreement, and additional annual payments of €1.6 million in June 2025, €4.1 million in June 2026, €3.2 million in June 2027, and €3.2 million in June 2028, in each case subject to three of the Products gaining approval prior to that date. The Agreement is also subject to minimum purchase requirements, and failure to meet such requirements may result in a reduction or termination of the Company’s exclusive rights, subject to certain exceptions. Additionally, the Company has agreed to a specified cost-sharing agreement related to the registration of the Lips and Eye Products with the FDA. The initial term of the Agreement is fifteen (15) years from the first FDA approval of a Product, with automatic renewals for successive five (5)-year terms subject to the terms of the Agreement. The Agreement contains various representations and warranties, covenants and other provisions that are customary for a transaction of this nature. The representations, warranties and covenants contained in the Agreement were made only for purposes of the Agreement and as of specific dates, were solely for the benefit of the parties to the Agreement, and may be subject to limitations agreed upon by the parties. The representations and warranties may have been made for the purposes of allocating contractual risk between the parties to the Agreement instead of establishing these matters as facts.
