In connection with internal initiatives focused on people, costs, and efficiency aimed at improving margins and reducing overhead, David R. Parker, our Chairman and Chief Executive Officer, and M. Paul Bunn, our President, voluntarily elected to take 10% salary reductions, which will become effective May 1, 2025 and will remain in place for 12 months (the "Salary Reductions"). The bonus opportunities for 2025 previously approved by the Compensation Committee of the Company's Board of Directors under which Messrs. Parker and Bunn are eligible to receive a bonus will continue to be calculated based on Messrs. Parker's and Bunn's salaries prior to the Salary Reductions.

On April 23, 2025, the Company's Board of Directors approved a stock repurchase program, authorizing the purchase of up to $50 million of the Company's Class A common stock from time-to-time based upon market conditions and other factors. The stock may be repurchased on the open market, in privately negotiated transactions, or other legally permissible means, including pursuant to Rule 10b5-1 trading plans. The Company did not place a limit on the duration of the repurchase program. The stock repurchase program does not obligate the Company to repurchase any specific number of shares, and the Company may suspend or terminate the program at any time without prior notice. On April 27, 2023, Covenant Logistics Group, Inc., a Nevada corporation (the “Company”), issued a press release announcing its financial and operating results for the quarter ended March 31, 2023. A copy of the press release is attached to this report as Exhibit 99.1.

Other Events.
On April 26, 2023, the Company completed the acquisition of Lew Thompson & Son Trucking, Inc. and related entities (collectively, “Lew Thompson & Son”), a dedicated contract carrier specializing in poultry feed and live haul transportation in Northwest Arkansas and surrounding areas. Under the terms of the agreement, the Company purchased 100% of the outstanding stock of Lew Thompson & Son in exchange for a closing enterprise value of approximately $100 million plus an earnout of up to $30 million depending on the results achieved by the business over the three following calendar years. For 2022, the acquired business generated approximately $64 million in revenue. Following the acquisition, as of April 27, 2023, our pro-forma leverage ratio was approximately 1.2x. Leverage ratio is calculated as average total indebtedness, comprised of total debt and finance leases, net of cash, divided by the trailing twelve months sum of operating income (loss), depreciation and amortization, and gain on disposition of property and equipment, net. A copy of the press release announcing the acquisition is attached hereto as Exhibit 99.1.

On October 20, 2022, Covenant Logistics Group, Inc., a Nevada corporation (the “Company”), issued a press release announcing its financial and operating results for the third quarter ended September 30, 2022. A copy of the press release is attached to this report as Exhibit 99.1.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 20, 2022, the Board of Directors of the Company approved the promotion of Paul Bunn to President and Chief Operating Officer (“COO”) and the transition of Joey Hogan to a part time Executive Vice President (“EVP”) role focused on strategic planning, mentoring the leadership team, government relations and other special projects, effective January 1, 2023.
The following is biographical information for Mr. Hogan and Mr. Bunn:
Joey B. Hogan, 60, has been the Company’s President since April 2021. On January 1, 2023, Mr. Hogan will become a part time EVP focused on strategic planning, mentoring the leadership team, government relations and other special projects. From April 2021 to May 2022, Mr. Hogan also served as the Company’s Principal Financial Officer. Previously, Mr. Hogan served as the Company’s Co-President and Chief Administrative Officer (“CAO”) from April 2020 to April 2021 and as the Company’s President and COO from February 2016 to April 2020. From May 2007 to February 2016, Mr. Hogan served as the Company’s Senior EVP and COO, as well as President of Covenant Transport, Inc. Mr. Hogan was the Company’s CFO from 1997 to May 2007, an EVP from May 2003 to May 2007, and a Senior Vice President (“SVP”) from December 2001 to May 2003. From joining the Company in August 1997 through December 2001, Mr. Hogan served as the Company’s Treasurer. Mr. Hogan served as a director and on the Audit Committee of previously publicly traded Chattem, Inc., a consumer products company, from April 2009 through March 2010, and currently serves as an officer of the Truckload Carriers Association.
M. Paul Bunn, 44, has been the Company’s Senior EVP, COO, and Secretary since April 2021. On January 1, 2023, Mr. Bunn will become the Company’s President and COO. Mr. Bunn previously served as the Company’s EVP, CFO, and Secretary from April 2020 to April 2021, the Company’s EVP and CAO from April 2019 to April 2020, the Company’s Chief Accounting Officer and Treasurer from January 2012 to April 2020, and an SVP from 2017 to April 2019. Previously, Mr. Bunn served as the Company’s Corporate Controller from July 2009 to January 2012. Prior to that, Mr. Bunn served as an Audit Senior Manager for Ernst & Young, LLP, a global professional services provider.

On January 26, 2022, the Company announced that the Company’s board of directors has adopted a quarterly cash dividend program of $0.0625 per share, subject to quarterly approval by the board. Under the plan, subject to quarterly approval, the dividends will be payable to stockholders of record as of the first Friday of the third month of each calendar quarter and payable on the last Friday of the third month of each calendar quarter. The Company’s board of directors has approved the first dividend, which will be for stockholders of record as of March 4, 2022, and payable on March 25, 2022.
