Item 8.01 Other Events On May 6, 2025, the Company announced that the Board of Directors approved a share repurchase program authorizing the Company to purchase up to an aggregate of $50 million of the Company’s Class A common stock. The share repurchase program is in accordance with Rule 10b-18 and/or Rule 10b5-1 of the Exchange Act. Subject to applicable rules and regulations, the shares may be purchased from time to time in the open market or in privately negotiated transactions. On August 9, 2022, the Company announced that the Board of Directors approved a share repurchase program authorizing the Company to purchase up to an aggregate of $50 million of the Company’s Class A common stock.
