Explanatory Note On January 28, 2025, Coastal Financial Corporation (the “Company”) filed a Current Report on Form 8-K (the “Original 8-K”) with the U.S. Securities and Exchange Commission (the “SEC”), which included as Exhibit 99.1 to the Original 8-K a press release (the “Original Press Release”) containing the Company’s preliminary results of operations and financial condition for the fiscal quarter and fiscal year ended December 31, 2024. The Company is filing this Amendment No.1 to the Original Form 8-K (the “Amended 8-K”) to furnish a revised earnings release that reflects corrections to certain items in the balance sheet, income statement and statement of cash flows included in the Original 8-K, resulting from errors made in the Company’s accounting related to certain fintech partners. No other figures or information in the Original 8-K are impacted by this correction and no other changes are made to the Original 8-K.
Item 2.02 Results of Operations and Financial Condition On March 17, 2025, the Company filed an updated press release with its results of operations and financial condition for the fiscal quarter ended December 31, 2024, which is attached as Exhibit 99.1 to this Amended 8-K (the “Amended Press Release”).
As noted in the Explanatory Note, the Amended Press Release corrects certain items in the balance sheet, income statement and statement of cash flows included in the Original 8-K, resulting from errors made in the Company’s accounting related to certain fintech partners The adjustments resulted in impacts to certain line items of the Company’s income statement but did not impact the Company’s net income or earnings per share in the aforementioned financial statements for the fiscal quarter and fiscal year ended December 31, 2024.
