(the “Company” or “BioAtla”) on March 2, 2026, with respect to the Company’s preliminary estimate of its cash and cash equivalents as of December 31, 2025 is incorporated herein by reference. Such information is preliminary, has not been audited and is subject to change pending completion of the Company’s audited financial statements for the year ended December 31, 2025. Item 2.05 Costs Associated with Exit or Disposal Activities.
On March 2, 2026, the Company announced a workforce reduction of approximately 70%. The foregoing actions were committed to on February 24, 2026 and are intended to further cost-containment measures in connection with the Company’s formal process to explore and evaluate strategic options to maximize shareholder value.
The total cash payments related to this workforce reduction are estimated to be between $0.5 and $0.6 million related to employee severance and benefit costs. The Company expects to pay for the majority of these costs in the first quarter of 2026.
The estimates of the charges and expenditures that the Company expects to incur in connection with the above, and the timing thereof, are subject to a number of assumptions, and actual amounts may differ materially from estimates.

Richard Waldron’s employment and role as Chief Financial Officer of the Company will terminate effective as of March 2, 2026.

The foregoing actions were committed to on March 21, 2025 and are intended to streamline the Company’s operating cost structure to support development of its prioritized programs and set the Company up for long-term success.
The total cash payments related to this workforce reduction are estimated to be between $0.5 and $0.6 million related to employee severance and benefit costs. The Company expects to pay for the majority of these costs in the second quarter of 2025.

On August 9, 2022, BioAtla, Inc. issued a press release announcing its financial results for the quarter ended June 30, 2022 and provided an interim topline data update from its mecbotamab vedotin (CAB-AXL-ADC, BA3011) Phase 2 studies in NSCLC and sarcoma, clinical progress of ozuriftamab vedotin (CAB-ROR2-ADC, BA3021) Phase 2 studies in NSCLC and melanoma, and an operational update on additional ongoing clinical programs.
