Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. (b) On February 7, 2025, Claire Bramley notified the Company of her decision to resign from her position as Chief Financial Officer of the Company (including as its principal financial officer and principal accounting officer) to take a Chief Financial Officer position with another company that is outside of the Company’s industry. Ms. Bramley’s last day with the Company will be March 31, 2025. Her resignation is not due to any disagreement with the Company on any matter relating to the Company’s financial reporting or the operations, policies, or practices of the Company. The Company is performing an executive search to identify a permanent replacement for Ms. Bramley.
(c) On February 10, 2025, the Board elected Charles Smotherman, the Company’s Senior Vice President, Chief Accounting Officer, as the Company’s interim Chief Financial Officer, effective as of March 24, 2025 (the “Appointment Effective Date”). Mr. Smotherman will also serve, on an interim basis, as the Company’s principal financial officer and principal accounting officer beginning on the Appointment Effective Date.
Mr. Smotherman, age 59, has served in various leadership roles in the Company’s finance department, most recently as Senior Vice President, Chief Accounting Officer, a position he has held since 2019. Mr. Smotherman has over 25 years of accounting and finance leadership experience. (b) As announced on August 5, 2024, the Company has initiated global restructuring and cost reduction actions to optimize operations, reduce non-revenue generating expenses, and drive efficiencies for long-term growth and profitability (the “Restructuring”). In connection with the Restructuring and as a result of personal reasons regarding Ms. Ashton, the Company will be realigning the leadership of its Products Organization. As part of this organizational realignment, the position of Chief Product Officer, held by Hillary Ashton, a Named Executive Officer of the Company, will be eliminated effective as of December 31, 2024 (the “CPO Transition”). As a result of the CPO Transition, Steve McMillan, the Company’s Chief Executive Officer, will take on oversight of the Company’s Products Organization. Item 2.05. Costs Associated with Exit or Disposal Activities.
On August 5, 2024, the Company announced that it has realigned its sales function and has initiated global restructuring and cost reduction actions to optimize operations, reduce non-revenue generating expenses, and drive efficiencies for long-term growth and profitability (the “Restructuring”). The Restructuring is expected to result in a reduction of the Company’s workforce affecting approximately 9% to 10% of the Company’s global workforce. The majority of the actions related to the Restructuring are expected to be completed by the end of 2024, with remaining actions to be completed by the end of 2025.
The Restructuring is expected to result in ongoing annualized cost savings of between $75 to $80 million, the majority of which are expected to be the result of reductions in operating expenses (the “Savings”). The Savings will primarily be initially realized throughout 2024 and 2025. The Company expects to invest a portion of the Savings back into revenue generating growth areas of the Company starting in 2025.
The Company expects that the majority of the costs relating to the Restructuring will include one-time employee separation benefits, transition support, and other employee-related costs. The Company expects that it will incur total charges related to the Restructuring in the range of approximately $20 to $25 million. The Company expects to recognize these charges in 2024 and 2025, with the majority recorded in 2024. Cash expenditures related to these actions are estimated at approximately $45 to $50 million, of which, approximately $30 to $35 million are expected to occur during 2024.

On November 1, 2021, Teradata's Board of Directors authorized an additional $1 billion to be utilized to repurchase Teradata common stock under its open market share repurchase program. Teradata now has a total of approximately $1.3 billion authorized for share repurchases under this program. The stock may be repurchased periodically on an ongoing basis in open market transactions, through 10b5-1 programs, through accelerated share repurchase programs, in privately negotiated transactions, or through the use of derivative instruments, in accordance with applicable securities rules regarding issuer repurchases. The increased share repurchase authorization is effective immediately and the program expires on December 31, 2025. The Company also maintains an open market dilution offset program under which the Company repurchases shares in the open market to offset shares purchased by employees from the Company under various employee benefit plans.
