Item 1.01. Entry into a Material Definitive Agreement.
On August 27, 2024, Spire Global, Inc., a Delaware corporation (the “Company”), as borrower, and Spire Global Subsidiary, Inc. and Austin Satellite Design, LLC, as guarantors, entered into the Waiver and Amendment No. 4 to Financing Agreement (the “Waiver and Amendment”) with Blue Torch Finance LLC, a Delaware limited liability company (“Blue Torch”), as administrative agent and collateral agent, and certain lenders, which amends that certain Financing Agreement, dated as of June 13, 2022, as amended by that certain Amendment No. 1 to Financing Agreement dated as of March 21, 2023, that certain Waiver and Amendment No. 2 to Financing Agreement dated as of September 27, 2023, and that certain Amendment No. 3 to Financing Agreement dated as of April 8, 2024 (the “Financing Agreement”), to (a) waive events of default under the Financing Agreement arising out of the maximum debt to EBITDA leverage ratio being greater than the ratio permitted by the Financing Agreement and the failure to deliver the financial statements for the fiscal quarter ended June 30, 2024 required by the Financing Agreement, (b) amend the financial covenants in the Financing Agreement to provide immediate covenant relief from the leverage ratios set forth in the Financing Agreement and extend the duration of the annualized recurring revenue (ARR) leverage ratio through December 31, 2024, and (c) provide for a fourth amendment fee. The fourth amendment fee is in an amount equal to three and a half percent (3.50%) of the aggregate outstanding principal balance of the term loans on the effective date of the Waiver and Amendment, bears interest from the date of the Waiver and Amendment at the Adjusted Term SOFR for a 3-month interest period plus the applicable margin under the Financing Agreement, and shall be paid-in-kind and added to the principal balance of the term loans. If the Financing Agreement is terminated and all amounts due thereunder are paid prior to December 31, 2024, two percent (2.00%) of the fourth amendment fee will be forgiven and cancelled. If the termination of the Financing Agreement and the payment in full of all amounts due thereunder does not occur prior to December 31, 2024, one percent (1.00%) of the fourth amendment fee will be forgiven and cancelled if $10.0 million of principal has been prepaid by the Company prior to December 31, 2024 and two percent (2.00%) of the fourth amendment fee will be forgiven and cancelled if $20.0 million of principal has been prepaid by the Company prior to December 31, 2024. The Waiver and Amendment also requires a repayment by the Company of $10,000,000 of the outstanding principal balance of the term loans on August 31, 2024 and provides that Blue Torch will be entitled to require the Company to engage an operational advisor reasonably satisfactory to Blue Torch. Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On August 21, 2024, Spire Global, Inc. (the “Company”) received written notice from the New York Stock Exchange (the “NYSE”) that the Company is not in compliance with the NYSE’s continued listing standards as set forth in Section 802.01E of the NYSE Listed Company Manual due to the Company’s failure to timely file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2024 (the “Q2 2024 Form 10-Q”) with the Securities and Exchange Commission (the “SEC”) prior to August 19, 2024, the end of the extension period provided by Rule 12b-25 under the Securities Exchange Act of 1934, as amended.
Under the NYSE’s rules, the Company can regain compliance with this NYSE listing standard by filing the Q2 2024 Form 10-Q with the SEC before February 19, 2025. In accordance with the NYSE notice, the Company has contacted the NYSE to discuss the status of its Q2 2024 Form 10-Q filing. Additional information regarding the status of the Company’s Q2 2024 Form 10-Q filing is provided below under Item 4.02.
On August 27, 2024, the Company issued a press release with respect to the receipt of the notice of noncompliance from the NYSE.
Item 4.02 Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review.
As previously disclosed in the Company’s Form 12b-25 filed with the SEC on August 14, 2024, the Company has been reviewing its accounting practices and procedures with respect to revenue recognition related to certain contracts in its “Space as a Service” business (the “Contracts”) under applicable accounting standards and guidance. The Company has retained technical accounting experts to help examine and make recommendations regarding the potential existence of embedded leases of identifiable assets in the Contracts and the recognition of revenue and related costs for pre-space mission activities under such Contracts.
The Company is reviewing the potential existence of embedded leases of identifiable assets in the Contracts at this time. Separately from this ongoing review, the Company has determined that its accounting for these Contracts, including primarily revenue and cost recognition timing for pre-space mission activities, was incorrect and that certain previously issued financial statements need to be restated to remove certain previously recorded pre-space mission activity revenue from the period in which pre-space mission activities were performed under the Contracts, and instead, record that revenue over the period in which data is delivered. Item 4.02 Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review.
In connection with the preparation of the third quarter 2022 condensed consolidated financial statements of Spire Global, Inc. (the “Company” or “Spire”), an error was identified related to the accounting for the fair value of the Company’s contingent earnout liability for the quarter and nine months ended September 30, 2021, quarter and year ended December 31, 2021, quarter ended March 31, 2022, and quarter and six months ended June 30, 2022 (the “Affected Periods”). The error resulted in the misstatement of the contingent earnout liability balance as of the end of each Affected Period. The error also resulted in the reported change in fair value of contingent earnout liability, total other income (expense), net, net income (loss), and basic and diluted net income (loss) per share for the Affected Periods being misstated.
On October 20 and 22, 2022, the audit committee of the board of directors of Spire, after discussion with the Company’s management and with the Company’s independent registered public accounting firm, concluded that the Company’s previously issued unaudited condensed consolidated financial statements as of and for the quarter and nine months ended September 30, 2021, quarter ended December 31, 2021, quarter ended March 31, 2022, and quarter and six months ended June 30, 2022, and the Company’s previously issued audited consolidated financial statements as of and for the year ended December 31, 2021, filed with the Securities and Exchange Commission in the respective Quarterly Reports on Form 10-Q for such quarterly periods (the “Form 10-Qs”) and in the Annual Report on Form 10-K (the “Form 10-K”) for the fiscal year ended December 31, 2021, and included in any reports, related earnings releases, investor presentations or similar communications of the Company’s financial results, should no longer be relied upon. The Company intends to restate its consolidated financial statements for the Affected Periods and include them in amended Form 10-Q/As and an amended Form 10-K/A to be filed with the Securities and Exchange Commission. The Company is working to complete such restatements as soon as practicable.

(“Spire”) issued a news release announcing its financial results for the quarter and fiscal year ended December 31, 2021.
