Item 1.01 Entry into a Material Definitive Agreement.

Securities Purchase Agreement On March 6, 2026, Solid Biosciences Inc., a Delaware corporation (the “Company”), entered into a securities purchase agreement (the “Securities Purchase Agreement”) with certain institutional accredited investors (the “Investors”), pursuant to which the Company agreed to issue and sell to the Investors in a private placement an aggregate of 14,973,257 shares of the Company’s common stock, par value $0.001 per share (the “Shares”), at a price of $5.61 per share, and, to investors who so choose in lieu of Shares, pre-funded warrants to purchase 27,807,482 shares of the Company’s common stock (the “Pre-Funded Warrants”), at a price of $5.609 per Pre-Funded Warrant (the “Private Placement”). The Private Placement is expected to close on or about March 9, 2026, subject to the satisfaction of certain customary closing conditions. The Company expects to receive aggregate gross proceeds from the Private Placement of approximately $240.0 million, before deducting placement agent fees and offering expenses, and aggregate net proceeds from the Private Placement of approximately $226.8 million, after deducting placement agent fees. Leerink Partners LLC and Citigroup Global Markets Inc. acted as joint lead placement agents for the Private Placement. Cantor Fitzgerald & Co. acted as co-lead placement agent for the Private Placement. H.C. Wainwright & Co. LLC and Truist Securities Inc. acted as co-placement agents for the Private Placement. The Company has granted the Investors indemnification rights with respect to its representations, warranties, covenants and agreements under the Securities Purchase Agreement. The Private Placement includes new and existing investors, including Perceptive Advisors, Bain Capital Life Sciences, RA Capital Management, Invus, Vestal Point Capital, Janus Henderson Investors, and Deep Track Capital, among others. Each Investor has agreed that it will not trade in the Company’s securities until after March 11, 2026. Pre-Funded Warrants Each Pre-Funded Warrant to be issued in the Private Placement will have an exercise price of $0.001 per share, will be exercisable immediately and will be exercisable until the Pre-Funded Warrant is exercised in full. On November 3, 2025, the Company announced positive new interim data from its Phase 1/2 INSPIRE DUCHENNE clinical trial, a Phase 1/2 first-in-human, open-label, single-dose, multicenter trial designed to evaluate the safety, tolerability and efficacy of SGT-003 in pediatric participants with Duchenne muscular dystrophy at a dose level of 1E14vg/kg. SGT-003 is administered as a one-time intravenous infusion, and a regulatory update.

INSPIRE DUCHENNE

Interim Clinical Data Update The interim clinical data is reported as of a September 29, 2025 data cutoff date, with additional safety data reported as of October 31, 2025. As of October 31, 2025, 23 participants have been dosed in the trial. Enrollment in INSPIRE DUCHENNE is ongoing at 15 clinical trial sites across the United States, Canada, Italy and the United Kingdom. Item 8.01 Other Events.

Initial Clinical Data from INSPIRE DUCHENNE Trial of SGT-003

On February 18, 2025, Solid Biosciences Inc. (the “Company”) announced positive initial data from the Phase 1/2 INSPIRE DUCHENNE trial evaluating SGT-003, a next-generation gene therapy product candidate intended for the treatment of Duchenne muscular dystrophy (“Duchenne”). The INSPIRE DUCHENNE trial is a Phase 1/2 first-in-human, open-label, single-dose, multicenter trial designed to evaluate the safety, tolerability and efficacy of SGT-003 in pediatric patients with Duchenne at a dose of 1E14vg/kg. SGT-003 is administered as a one-time intravenous infusion. Interim 90-day biopsy data reported in the first three participants showed an average microdystrophin expression of 110%, as measured by western blot, and improvements in multiple biomarkers that are indicators of muscle health and resilience. The 90-day data reported of the data cutoff date of February 11, 2025 includes: microdystrophin expression, measures of restoration and activation of key elements of the dystrophin-associated protein complex, key muscle integrity biomarker evaluation, in each case, from the first three participants dosed in the INSPIRE DUCHENNE trial, and interim safety findings from the first six participants dosed in the INSPIRE DUCHENNE trial. The first three participants are two 5-year-old boys and one 7-year-old boy at the time of dosing. The second three participants are a 6-year-old boy and two 7-year-old boys at the time of dosing. Securities Purchase Agreement On January 8, 2024, Solid Biosciences Inc., a Delaware corporation (the “Company”), entered into a securities purchase agreement (the “Securities Purchase Agreement”) with certain institutional accredited investors (the “Investors”), pursuant to which the Company agreed to issue and sell to the Investors in a private placement an aggregate of 16,973,103 shares of the Company’s common stock, par value $0.001 per share (the “Shares”), at a price of $5.53 per share, and, to one Investor in lieu of Shares, pre-funded warrants to purchase 2,712,478 shares of the Company’s common stock (the “Pre-Funded Warrants”), at a price of $5.529 per Pre-Funded Warrant (the “Private Placement”). The Private Placement is expected to close on or about January 11, 2024, subject to the satisfaction of certain customary closing conditions. The Company expects to receive aggregate gross proceeds from the Private Placement of approximately $108.9 million, before deducting placement agent fees and offering expenses, and aggregate net proceeds from the Private Placement of approximately $104.1 million, after deducting placement agent fees. Citigroup Global Markets Inc. and Cantor Fitzgerald & Co. acted as joint lead placement agents for the Private Placement. The Company has granted the Investors indemnification rights with respect to its representations, warranties, covenants and agreements under the Securities Purchase Agreement. Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 6, 2023, the Company’s Board of Directors (the “Board”) appointed Kevin Tan as the Company’s Chief Financial Officer, effective as of January 9, 2023 (the “Appointment Date”). In connection with his appointment, Mr. Tan will serve as the Company’s principal financial officer and principal accounting officer. In connection with Mr. Tan’s appointment, Stephen DiPalma, the Company’s Interim Chief Financial Officer and principal financial officer and principal accounting officer, will cease to serve in such roles, effective as of the Appointment Date. (the “Company”) issued a press release providing business updates in advance of its presentation at the J.P. Morgan Healthcare Conference scheduled for January 13, 2022. Although the Company has not finalized its full financial results for the fourth quarter and fiscal year ended December 31, 2021, the Company disclosed in the press release that it expects to report cash and investments of approximately $210 million as of December 31, 2021. Following implementation of its updated risk mitigation strategy, the Company dosed a ninth patient in its ongoing IGNITE DMD Phase I/II clinical trial for SGT-001 in November 2021 using the Company’s second-generation manufacturing process. The Company plans to continue dosing patients in IGNITE DMD in 2022 as well as share additional expression, functional, pulmonary and patient reported outcomes data from the trial in the first half of 2022.

Item 1.01 Entry into a Material Definitive Agreement.

Collaboration Agreement On October 22, 2020, Solid Biosciences Inc. (the “Company”) entered into a collaboration and license agreement (the “Collaboration Agreement”) with Ultragenyx Pharmaceutical Inc. (“Ultragenyx”), pursuant to which the Company granted Ultragenyx an exclusive worldwide license under certain intellectual property rights controlled by the Company to make, have made, use, distribute, offer for sale, sell, import and export, including to research, develop, modify, enhance, improve, register, distribute, commercialize, or otherwise dispose of AAV8 or other clade E AAV variant pharmaceutical products that express the Company’s MD5 nNOS binding domain form of microdystrophin protein for the diagnosis, treatment, cure, mitigation or prevention of Duchenne Muscular Dystrophy and other disease indications resulting from a lack of functional dystrophin, including Becker muscular dystrophy (the “Licensed Products”). The Company retains exclusive rights to all other uses of its microdystrophin proteins, including under its existing SGT-001 program. The Company will conduct certain activities agreed to by the parties with respect to the development of Licensed Products. Ultragenyx will reimburse the Company for personnel and out-of-pocket costs that the Company incurs in conducting such development activities. Otherwise, Ultragenyx has decision-making authority with respect to the development, manufacturing and commercialization of Licensed Products. With respect to each Licensed Product for which the Company has not exercised the Development Option or Income Share Option (each as defined and described below), the Company will be entitled to milestone payments of up to $25.0 million in the aggregate for each such Licensed Product that achieves specified development milestones and $65.0 million in the aggregate for each such Licensed Product that achieves specified regulatory milestones. With respect to each Licensed Product for which the Company has not exercised the Income Share Option, the Company will also be entitled to milestone payments of up to $165.0 million in the aggregate for each such Licensed Product that achieves specified annual worldwide net sales milestones. For Licensed Products for which the Company has not exercised the Development Option or Income Share Option, Ultragenyx will pay the Company tiered royalties on a Licensed Product-by-Licensed Product and country-by-country basis ranging from a low double digit percentage to a mid-teens percentage based on Ultragenyx’s, and any of its affiliates’ and sublicensees’ annual worldwide net sales of such Licensed Products. For each Licensed Product for which Ultragenyx decides to initiate a registrational trial in humans, the Company will have the option to fund 30% of the development costs in the United States and European Uni
