On April 23, 2024, the Board of Directors of (the “Company”) and Renasant Bank (the “Bank”) approved the next step of the Company’s and Bank’s management succession plan by designating Kevin D. Chapman to become Chief Executive Officer of the Company and the Bank, effective May 2025. Following Mr. Chapman’s promotion to Chief Executive Officer, C. Mitchell Waycaster will continue in his role as Executive Vice Chairman of the Company and the Bank. Until that time, Mr. Waycaster and Mr. Chapman will retain their current titles and duties as Chief Executive Officer and President and Chief Operating Officer, respectively, of both entities.
Mr. Waycaster’s and Mr. Chapman’s respective compensation and other benefit arrangements and the terms of their employment agreements were not changed in connection with the above-described designation. These compensation and other benefit arrangements and employment agreement terms, as well as the background, experience and related person disclosures for Mr. Waycaster and Mr. Chapman are described in the Company‘s definitive proxy statement for its 2024 Annual Meeting of Shareholders, filed with the Securities and Exchange Commission on March 13, 2024.

Explanatory Note
This Amendment No. 1 to Current Report on Form 8-K/A (the “Amended Filing”) amends the Current Report on Form 8-K filed by Renasant Corporation (“Renasant”) with the Securities and Exchange Commission on October 24, 2023 (the “Original Filing”). The purposes of the Amended Filing is to furnish an amended version of Renasant’s press release issued October 24, 2023 (the “Amended Earnings Release”) and related presentation materials (the “Amended Presentation”), for the reasons described below.
Item 2.02. Results of Operations and Financial Condition.
Subsequent to the issuance of Renasant’s October 24, 2023 press release and related presentation materials, Renasant recorded an approximately $627 thousand debit to loan interest income (and a corresponding credit to other assets) relating to settlement payments with the counterparty on a cash flow hedge on a notional amount of $250 million in loans. The after-tax impact of this entry reduced Renasant’s diluted earnings per share for the quarter ended September 30, 2023 from $0.75 to $0.74. The cash flow hedge to which such entry relates had a forward-starting date of July 2023, meaning that settlement payments with the counterparty did not begin until the third quarter of 2023. Accordingly, no Renasant financial statements for periods prior to the third quarter of 2023 are affected by this entry or the accounting for this cash flow hedge.
In addition to Renasant’s diluted earnings per share for the third quarter of 2023, other amounts and ratios included in the October 24, 2023 earnings release and related presentation materials were impacted by the aforementioned entry. The Amended Filing furnishes the Amended Earnings Release as Exhibit 99.1 and the Amended Presentation as Exhibit 99.2, each of which reflect such entry and which replace in their entirety the press release and related presentation materials furnished as Exhibits 99.1 and 99.2, respectively, to the Original Filing.
