Explanatory Note On May 4, 2022, The New York Times Company (the “Company”) issued a press release announcing its financial results for the quarter ended March 27, 2022, (the “Original Release”), and furnished a copy thereof pursuant to a Current Report on Form 8-K (the “Original 8-K”). The Company has issued a corrected press release, which is furnished as Exhibit 99.1 hereby, and is filing this Report to amend and correct the Original 8-K.
The Original Release included a statement of the number of Digital-only subscribers with News as of the end of the quarter, and for comparison purposes, as of the end of the first and fourth quarters of 2021 (the “Comparison Digital News Subscribers”). In the Original Release, this Comparison Digital News Subscribers information was inadvertently understated by approximately 43,000 and 42,000 subscribers in the first and fourth quarters of 2021, respectively.
