On February 4, 2026, LifeVantage Corporation (the “Company”) issued a press release announcing its financial results for the three and six months ended December 31, 2025. A copy of the Company’s press release is attached as Exhibit 99.1 to this report and incorporated by reference. Fife notified the Company's board of directors (the “Board”) of his decision to retire as President and Chief Executive Officer and from the Board, with such resignation expected to be effective in April 2026. Mr. Fife’s decision to retire is not the result of any disagreement with the Company on any matter relating to the Company's operations, financial policies or practices.
