Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers On August 6, 2025, the Company announced that Michael Lafair will step down from his role as the Company’s Executive Vice President, Chief Financial Officer, Principal Financial Officer and Principal Accounting Officer, effective as of the earlier of the appointment of his successor or the close of business on December 31, 2025 (such date, the “Transition Date”). Mr. Lafair’s decision was not the result of any disagreement between Mr. Lafair and the Company, its management or its board of directors on any matter relating to the Company’s operations, policies or practices. The Company has retained an external search firm to identify candidates for the Chief Financial Officer role. In connection with Mr. Lafair’s transition, the Company has entered into a Transition Agreement (the “Transition Agreement”) with Mr. Lafair dated as of August 4, 2025. Pursuant to the Transition Agreement, Mr. Lafair will continue to serve as the Company’s Chief Financial Officer, Principal Financial Officer and Principal Accounting Officer through the Transition Date, and will cooperate with the Company in effecting the transition of his duties and responsibilities to his successor. To the extent Mr. Lafair remains an employee of the Company through December 31, 2025 or is terminated without cause prior to such date, Mr. Lafair will continue to receive his current base salary and benefits through December 31, 2025 and he will be entitled to receive his annual bonus for all of 2025 in accordance with the Company’s regular bonus determination and awards procedures. In addition, to the extent Mr. Lafair remains an employee of the Company through December 31, 2025 or is terminated without cause prior to such date, and subject to his execution and effectiveness of a customary release of claims, he has agreed to provide the Company with advisory services from the Transition Date through February 17, 2026 (the “Advisory

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers On February 21, 2024, the Board of Directors of the Company granted restricted stock units ("RSUs") for 218,484 shares of Common Stock, pursuant to the Company's 2021 Equity Incentive Plan, to Scott Hill, the Company's Chief Executive Officer. The RSUs vest on the Company's next regular RSU vesting date, May 16, 2024, for that number of shares equal to the product of 18,207 and the number of months of Mr. Hill's service as Chief Executive Officer, and will vest on each of the next two regular quarterly RSU vesting dates thereafter, August 16, 2024 and November 16, 2024, in an amount equal to the product of 18,207 and the number of months of Mr. Hill's service as Chief Executive Officer since the last vesting date. The RSUs are subject to acceleration of vesting in the event of a change in control.

(the "Company") expects to report revenue for fiscal year 2023 of $136.3 million to $138.3 million, consistent with the outlook provided on November 9, 2023. In addition, Adjusted EBITDA is expected to be a loss less than the previously issued guidance range of ($31.9) million to ($29.9) million. For more information on how the Company calculates Adjusted EBITDA, please refer to the Company's November 9, 2023 press release, filed as an exhibit to the Company's Current Report on Form 8-K, filed with the Securities and Exchange Commission on November 9, 2023. The Company's audited financial statements for the year ended December 31, 2023 are not yet available. Accordingly, these preliminary financial and operating results are an estimate and subject to the completion of the Company's financial closing and other procedures and finalization of the Company's consolidated financial statements for the year ended December 31, 2023, including the completion of the audit of the Company's financial statements. Accordingly, actual financial and operating results that will be reflected in the Company's Annual Report on Form 10-K for the year ended December 31, 2023, including its audited financial statements, when they are completed and publicly disclosed may differ from these preliminary results. Item 2.02 Results of Operations and Financial Condition
As of January 19, 2023, CS Disco, Inc. (the “Company”) expects to report revenue for fiscal year 2022 of $132.0 million to $136.0 million, consistent with the outlook provided on November 10, 2022. In addition, Adjusted EBITDA is expected to be a loss less than the previously issued guidance range of ($54.0) million to ($50.0) million. For more information on how the Company calculates Adjusted EBITDA, please refer to the Company's November 10, 2022 press release, filed as an exhibit to the Company's Current Report on Form 8-K, filed with the Securities and Exchange Commission on November 10, 2022.

Item 2.05 Costs Associated with Exit or Disposal Activities
On January 19, 2023, the Company committed to a plan to reduce its workforce by approximately 62 employees, representing approximately 9% of the Company’s current global workforce (the “Plan”). The Plan was based on cost-reduction initiatives intended to reduce the Company’s cost structure and accelerate its path to profitability.
The Company estimates that it will incur non-recurring charges of approximately $0.9 million to $1.1 million in connection with the Plan, consisting of cash expenditures primarily for employee severance and other termination benefits.
The Company expects that the majority of these charges will be incurred in the first quarter of 2023. The charges that the Company expects to incur are subject to a number of assumptions, including local law requirements in various jurisdictions. Actual expenses may differ from such estimates.
