Item 8.01 Other Events On August 5, 2025, the Company announced that the Board authorized a share repurchase program (the “2025 Program”) under which the Company may repurchase up to $500 million of its outstanding common stock. The 2025 Program does not have a specified term or termination date. Under the 2025 Program, the Company is authorized to repurchase shares of common stock in privately negotiated transactions, and/or open market transactions, including under plans complying with Rule 10b5-1 under the Exchange Act, and in block trades, or a combination of the foregoing. The Board will review the share repurchase program periodically and may authorize adjustment of its term and size.
