Explanatory Note On February 24, 2026, First Watch Restaurant Group, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Initial Form 8-K”) to report its financial results for the fourth fiscal quarter and fiscal year ended December 28, 2025. A copy of the press release announcing such results and a copy of the supplemental information presentation describing such results were attached to the Initial Form 8-K as Exhibit 99.1 (the “Original Press Release”) and Exhibit 99.3 (the “Original Supplemental Information Presentation”), respectively, and incorporated by reference therein. This amendment to the Initial Form 8-K is being filed solely to correct a typographical error in Exhibit 99.1 and Exhibit 99.3 to the Initial Form 8-K regarding the Company’s expectations for new restaurant openings for the fiscal year ending December 27, 2026. The language incorrectly reported that the Company’s outlook for new system-wide restaurants did not include three company-owned restaurant closures and should have stated that the outlook included those three company-owned restaurant closures. Except for the language regarding the Company’s expected new system-wide restaurants in the fiscal year ending December 27, 2026 in Exhibit 99.1 and Exhibit 99.3, all information set forth in the Initial Form 8-K and corresponding exhibits remains unchanged. (the “Company”) issued the Original Press Release announcing its financial results for the fourth fiscal quarter and fiscal year ended December 28, 2025. Item 2.02 - Results of Operations and Financial Condition. On February 24, 2026, First Watch Restaurant Group, Inc. (the “Company”) issued a press release announcing its financial results for the fourth fiscal quarter and fiscal year ended December 28, 2025. A copy of the release is attached as Exhibit 99.1. Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On February 20, 2026, Mel Hope, the Company’s Chief Financial Officer and Treasurer, informed the Company of his intent to retire from his position as Chief Financial Officer and Treasurer after nearly eight years of distinguished service and leadership with the Company. The Company is conducting a process to identify his successor, looking at both internal and external candidates. It is expected that Mr. Hope will remain as Chief Financial Officer and Treasurer until his successor is in place, and to serve as an advisor to the Company for a period of time thereafter to ensure a smooth transition. A copy of the press release dated February 24, 2026 announcing the retirement of Mr. Hope is attached as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference.
