Item 2.02                                Results of Operations and Financial Condition.

On August 29, 2012, SkyPeople Fruit Juice, Inc. (the “Company”) issued a press release with respect to its projected operational results for the fiscal year ending December 31, 2012. The Company forecasted revenue for fiscal 2012 to be in the range of $90 million to $110 million; net income attributable to SkyPeople Fruit Juice, Inc. to be in the range of $16.2 million to $22.0 million, and fully diluted earnings per share to be in the range of $0.61 to $0.83.
