This Amendment No. 1 to Current Report on Form 8-K/A is being filed with the Securities and Exchange Commission solely to amend the Current Report on Form 8-K filed on July 3, 2025 (the "Original 8-K") to report that Shift4 Payments, Inc. (the "Company") previously filed Current Report Form 8-K on May 15, 2025 (the "Previously Filed 8-K") that included the Pro Forma Financial Information required to be filed under Item 9.01(b) in the Original 8-K. CFO Transition
On August 5, 2025, Nancy Disman informed the Company of her intent to resign from her position as the Company's Chief Financial Officer effective September 1, 2025 (the "CFO Transition Date") and serve as a Senior Advisor to transition her responsibilities through January 2, 2026 at which time she will retire from the Company ("Retirement Date").
On August 5, 2025, the Company's board of directors (the "Board") appointed Christopher N. Cruz as the Company's Chief Financial Officer and designated him as the principal financial officer, in each case effective as of the CFO Transition Date.
A description of Mr. Cruz's background and experience can be found in the Company's definitive proxy statement on Schedule 14A (the "Proxy Statement"), filed with the Securities and Exchange Commission (the "SEC") on April 30, 2025. On February 16, 2025, the Board of Directors (the "Board") of the Company, upon the recommendation of the Board's Compensation Committee (the "Compensation Committee"), approved amendments to the Company's Non-Employee Director Compensatory Policy, to provide for •an annual cash retainer of $50,000 for serving on the Board, earned on a quarterly basis; •an annual cash retainer of $15,000 for serving on the Audit Committee of the Board (the “Audit Committee”) and $30,000 for serving as the chairperson of the Audit Committee, in each case earned on a quarterly basis; •an annual cash retainer of $10,000 for serving on the Compensation Committee, and $22,500 for serving as the chairperson of the Compensation Committee, in each case earned on a quarterly basis; •an annual cash retainer of $5,500 for serving on the Nominating and Corporate Governance Committee of the Board (the “Nominating Committee”), and $18,000 for serving as the chairperson of the Nominating Committee, in each case earned on a quarterly basis; •an initial equity-based award of restricted stock units (the “Initial Award”) in an amount equal to a prorated portion of $210,000, based on the time that has elapsed since the Company’s annual meeting of stockholders, that vests on the first anniversary of such annual meeting, subject to continued service on the Board through each such vesting date; •following each annual meeting of the Company’s stockholders, an annual equity-based award of restricted stock units in an amount of $210,000 that vests on the first anniversary of the date of grant, subject to continued service on the Board through such vesting date.

Item 8.01 - Other Events. On May 8, 2024, the Board of Directors (the "Board") of the Company approved a new stock repurchase program, effective immediately. The stock repurchase program authorizes the Company to repurchase up to $500.0 million of the Company's Class A common stock, par value $0.0001 ("Common Stock") and will expire on December 31, 2025, subject to the terms of the program, market conditions, contractual restrictions and other factors.
Repurchases under the program may be made in the open market, in privately negotiated transactions or otherwise, with the amount and timing of repurchases depending on market conditions and corporate needs, subject to the terms of the program. Open market repurchases will be structured to occur within the pricing and volume requirements of Rule 10b-18 under the Exchange Act. The Company may also, from time to time, enter into Rule 10b5-1 trading arrangements under the Exchange Act to facilitate repurchases of its shares of Common Stock under this authorization.
This program does not obligate the Company to acquire any particular amount of Common Stock. The program replaces any and all prior repurchase programs, and the program may be extended, modified, suspended or discontinued at any time at the Board's discretion.
