News Release
Eversource Energy Completes the Sale of Aquarion Water Company
HARTFORD, Conn. and BOSTON, Mass. (June 30, 2026) – Eversource Energy (NYSE:ES) (“Eversource”) today announced that it has successfully completed the sale of Aquarion Water Company (“AWC”), consistent with all regulatory terms and requirements, to Aquarion Water Authority (“AWA”), a quasi-public corporation and political subdivision of the State of Connecticut and a standalone water authority alongside the South Central Connecticut Regional Water Authority (“RWA”). The total transaction purchase price was $2.4 billion cash. The adjusted net equity proceeds of approximately $1.7 billion will be used to displace Eversource debt, delivering on our commitment to strengthen the Eversource balance sheet.
On January 27, 2025, Eversource entered a definitive agreement to sell AWC to AWA. The sale was approved by the Connecticut Public Utilities Regulatory Authority on March 25, 2026.
“We are pleased to close this transaction, which is a key piece of our commitment to further strengthen our balance sheet and credit profile,” said Eversource Executive Vice President, Chief Financial Officer and Treasurer John Moreira. “The sale of Aquarion constitutes a significant milestone in furthering our strategic position as a pure-play regulated pipes and wires utility, allowing us to optimize our portfolio by focusing on our core electric and natural gas operations across New England while efficiently reinvesting capital for the benefit of our customers. As we continue to collaborate with stakeholders across our service territories in Connecticut, Massachusetts and New Hampshire to deliver-cost-effective solutions that ensure safe, reliable electric and natural gas service for our customers, we are confident that Aquarion’s operational success, sound management and financial stewardship will continue under the new authority model – benefitting residents, businesses and communities for years to come.”
As a result of the sale, Eversource expects to recognize an after-tax non-cash non-recurring charge of approximately $115 million, or $0.31 per share, in the second quarter of 2026. The Company's revised 2026 non-GAAP guidance of $4.57 per share to $4.72 per share includes the impact of the absence of Aquarion earnings. The Company continues to expect that its cumulative long-term earnings per share growth rate would be within the range of 5 to 7 percent through 2030, using the adjusted 2026 non-GAAP earnings guidance mid-point of $4.65 per share as the base year. The Company expects annual earnings growth towards the upper half of its long-term guidance by 2028.

This release includes financial measures that are not recognized under generally accepted accounting principles (non-GAAP) referencing earnings and EPS excluding the loss on sale of the Aquarion water distribution business and excluding a charge for the March 2026 FERC decision in the FERC base ROE complaints. EPS by business is also a non-GAAP financial measure and is calculated by dividing the Net Income Attributable to Common Shareholders of each business by the weighted average diluted Eversource Energy common shares outstanding for the period. The earnings and EPS of each business do not represent a direct legal interest in the assets and liabilities of such business but rather represent a direct interest in Eversource Energy’s assets and liabilities as a whole. Eversource Energy uses these non-GAAP financial measures to evaluate and provide details of earnings results by business and to more fully compare and explain results without including these items. This information is among the primary indicators management uses as a basis for evaluating performance and planning and forecasting of future periods. Management believes the loss on sale of the Aquarion water distribution business and the charge for the March 2026 FERC decision in the FERC base ROE complaints are not indicative of Eversource Energy’s ongoing costs and performance. Management views these charges as not directly related to the ongoing operations of the business and therefore not indicators of baseline operating performance. Eversource Energy Reports First Quarter 2026 Results
HARTFORD, Conn. and BOSTON, Mass. (May 6, 2026) – Eversource Energy (NYSE: ES) today reported GAAP earnings of $606.8 million, or $1.61 per share, for the first quarter of 2026, compared with GAAP and non-GAAP earnings of $550.8 million, or $1.50 per share, for the first quarter of 2025. Non-GAAP recurring earnings totaled $650.7 million1, or $1.73 per share1, in the first quarter of 2026.
Also today, the Eversource Energy Board of Trustees approved a common dividend of $0.7875 per share, payable June 30, 2026, to shareholders of record as of May 18, 2026.
GAAP results for the first quarter of 2026 include an after-tax charge of $43.9 million, or $0.12 per share, related to the Federal Energy Regulatory Commission (FERC) decision of March 19, 2026 that reduced the return on equity (ROE) rate for New England transmission owners from 10.57% to 9.57%. The order required refunds for the 15-month first complaint period beginning October 1, 2011 to December 31, 2012 and retroactively from October 16, 2014 forward with interest. The first quarter after-tax charge represents an estimated loss reflecting refunds associated with this 15-month complaint period, including interest. Eversource has taken several legal actions, including filing a rehearing request at FERC, an extension of the refund timing, and a motion for stay of the order. The Company also submitted a Section 205 filing with FERC, which is a formal request to change the ROE rate prospectively, proposing a replacement ROE of 11.39% based on current market data and using the same methodology that FERC used to derive the 9.57% rate based on market data from October 2012 to March 2013. The new ROE rate of 11.39% is expected to be effective later this year on a subject to refund basis.
“Eversource Energy's first quarter performance was highlighted by our team's strong response to a historic Nor'easter that brought blizzard conditions, record snowfall, and a significant number of power outages to our service area,” said Joe Nolan, Chairman, President and CEO. “Also, in the quarter, we were very disappointed with FERC’s arbitrary and flawed ROE reduction, especially at a time when New England needs significant transmission investments to bring incremental generation in the region that would lower costs for customers. Eversource will continue to vigorously pursue all actions against punitive decisions imposed by our regulators that jeopardize our ability to complete this critical work for customers,” said Nolan.
As announced on March 31, 2026, following the FERC order that reduced transmission base ROE by 100 basis points and taking into account earnings impacts of the potential Aquarion sale after securing the Connecticut Public Utility Regulatory Authority's final approval of change of control, the Company revised its earnings guidance for 2026 non-GAAP recurring earnings to between $4.57 per share1 and $4.72 per share1, versus its original guidance range of $4.80 to $4.95 per share. The Company also reaffirmed its compound annual earnings per share growth rate within the range of 5 to 7 percent through 2030, using the adjusted 2026 non-GAAP earnings guidance midpoint of $4.65 per share1 as the base year. Electric Transmission
Eversource Energy’s transmission segment, excluding the FERC ROE refund charge noted above, earned $224.3 million1 in the first quarter of 2026, compared with earnings of $199.4 million in the first quarter of 2025. Transmission segment results improved due primarily to continued investment in Eversource’s electric transmission system and higher non-refundable revenues, partially offset by higher interest expense.
Electric Distribution
Eversource Energy’s electric distribution segment earned $202.8 million in the first quarter of 2026, compared with earnings of $188.4 million in the first quarter of 2025. Improved results were due primarily to higher revenues from base distribution rate increases at Eversource’s Massachusetts and New Hampshire electric businesses, and continued investments in our distribution system. The higher revenues were partially offset by higher interest expense, depreciation, operations and maintenance (O&M) and property taxes.
Natural Gas Distribution
Eversource Energy’s natural gas distribution segment earned $295.3 million in the first quarter of 2026, compared with earnings of $218.4 million in the first quarter of 2025. Improved results were due primarily to the base distribution rate increases at all of Eversource’s gas businesses, effective November 1, 2025, to recover continued investment in our natural gas infrastructure. The higher revenues were partially offset by higher O&M, depreciation, property and income taxes, and interest expense.

Item 2.02 Results of Operations and Financial Condition.
On October 14, 2025, Eversource Energy (“Eversource”) issued a news release providing an update on offshore wind liability including certain unaudited financial information for the three-month period ended September 30, 2025. A copy of the news release is attached as Exhibit 99.1 and is incorporated herein by reference hereto.

Section 8 - Other Events
Item 8.01 Other Events.
On September 30, 2024, Eversource sold its interests in in the 132-megawatt South Fork Wind project (“South Fork Wind”), which is operational, and the 704-megawatt Revolution Wind project (“Revolution Wind”), which is under construction, (collectively, the “Offshore Wind Projects”) to affiliates of Global Infrastructure Partners (“GIP”).
As part of the sale of the Offshore Wind Projects, Eversource and GIP agreed to make certain post-closing purchase price adjustments that will impact the final purchase price. Upon closing of the sale, Eversource recorded a $365 million contingent liability as of September 30, 2024, reflecting its estimate of the future obligations under the terms of the sale to GIP. These obligations included an expected cost overrun sharing obligation, an expected obligation to maintain GIP’s internal rate of return, and an obligation for other future costs. Certain payments made in 2025 reduced this liability, which was $296 million as of June 30, 2025. As the Offshore Wind Projects progress and final costs materialize, Eversource continues to review its obligations with respect to the project to determine if any changes to this liability are warranted as Revolution Wind project completes construction.
In the third quarter of 2025, Eversource received an updated report on the construction status of Revolution Wind from GIP that included revised projections of total construction costs. The revised cost projections reflect known and quantifiable cost overruns, including those associated with the impacts of damage to the wind turbine installation vessel, insurance costs and costs incurred as a result of the stop-work order for Revolution Wind received on August 22, 2025 from the Bureau of Ocean Energy Management (“BOEM”) that halted all offshore wind construction activities through September 22, 2025. The aggregate impact of these amounts is currently estimated to be approximately $285 million, which is expected to result in a charge to be recogniz

On September 30, 2024, Eversource Energy (“Eversource” or the “Company”) issued a news release announcing that the Company has completed the sale of its 50 percent interest in the 132-megawatt South Fork Wind project (“South Fork Wind”) and the 704-megawatt Revolution Wind project (“Revolution Wind”) to affiliates of Global Infrastructure Partners (“GIP”). The news release is attached as Exhibit 99.1 and incorporated herein by reference.

Item 8.01Other Events.
On September 30, 2024, Eversource announced that the Company has completed the sale of its 50 percent share in the 132-megawatt South Fork Wind project and the 704-megawatt Revolution Wind project to GIP. Adjusted gross proceeds from the transaction payable at closing were $745 million. Adjusted gross proceeds from the sale were reduced by approximately $375 million as compared with the previously estimated purchase price of approximately $1.12 billion. This reduction reflects an approximately $150 million reduction resulting from lower capital spending between announcing the transaction and closing, and an approximately $225 million reduction primarily due to the delay of the commercial operations date of Revolution Wind.
With the completion of this sale and the previously completed sale of the Company’s 50 percent interest in the Sunrise Wind project (“Sunrise Wind”) to Ørsted consumated on July 9, 2024, Eversource expects to record an aggregate net loss on the completion of its offshore wind divesture of approximately $520 million in the third quarter of 2024. This aggregate net loss includes the final gain on the sale of Sunrise Wind of $370 million and anticipated increases in Revolution Wind construction costs and other project related charges. This estimate is subject to change as Eversource finalizes results for the third quarter ended September 30, 2024. Eversource expects to recognize a liability of approximately $360 million, which is included as part of the aggregate net loss of $520 million on the sale, in the third quarter of 2024. The majority of this liability is expected to be settled in 2026.

On January 24, 2024, Sunrise Wind, an offshore wind project jointly owned 50 percent by Eversource Energy (“Eversource”) and 50 percent by Ørsted, issued a news release announcing that Ørsted has signed an agreement with Eversource to acquire Eversource’s 50 percent share of Sunrise Wind, a 924 MW offshore wind farm, which would deliver power to New York. The acquisition is subject to the successful award of Sunrise Wind in the ongoing New York 4 solicitation for offshore wind capacity, signing of an OREC (“Offshore Wind Renewable Energy Certificates”) contract with the New York State Energy Research and Development Authority (“NYSERDA”), finalization of acquisition agreements, receipt of construction and operations plan (“COP”), and relevant regulatory approvals.

If Sunrise Wind is not successful in the solicitation, then the existing OREC contract for Sunrise Wind will be cancelled per the state’s requirements, and Eversource and Ørsted’s 50/50 joint venture for Sunrise Wind will remain in place. In that scenario, the joint venture will evaluate its next steps. If the project is provisionally awarded, a new contract will be negotiated with NYSERDA under the updated terms of the current solicitation.
As the most mature offshore wind project in New York’s pipeline, Sunrise Wind is, if awarded in the New York 4 solicitation, expected to be completed in 2026, helping New York achieve its goal of reaching 70 percent renewable energy by 2030.

Item 8.01Other Events.
On January 8, 2024, Eversource provided the following updates regarding the process to divest its 50 percent ownership interest in three offshore wind projects: South Fork Wind, Revolution Wind and Sunrise Wind. Eversource currently holds its share of these three projects in two separate joint venture partnerships with Ørsted (each, a “JV”), one that holds only South Fork Wind and another that holds both Revolution Wind and Sunrise Wind. Eversource also separately holds a tax equity investment in South Fork Wind.
Eversource is in advanced, exclusive negotiations with the selected buyer (the “Buyer”), which is a leading global private infrastructure investor, to sell its ownership interest in these projects. Although Eversource cannot provide any assurance that the parties will reach final agreement on terms for this transaction, if successful in reaching an agreement, Eversource will announce the details of the transaction terms and conditions promptly upon execution of such definitive documentation.
Closing a transaction with the Buyer would be subject to customary conditions, including certain regulatory approvals under the Hart Scott Rodino Act and at the Federal Energy Regulatory Commission, as well as other conditions, among which, are the completion and execution of the partnership agreements between the Buyer and Ørsted that will govern the Buyer’s new ownership interest following Eversource’s divestiture. The scope of the transaction would also be subject to the developments with respect to the Sunrise Wind rebid process.
During the fourth quarter of 2023, Eversource identified certain impacts that will require further adjustment to the carrying value of its offshore wind investments for the three projects.
