On September 28, 2022, Enerpac Tool Group Corp. (the “Company”) issued a press release announcing its results of operations for the three months and fiscal year ended August 31, 2022, a copy of which is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

Associated with Exit or Disposal Activities.
As reported in the Company’s Form 10-Q for the period ended May 31, 2022 (the “Form 10‑Q”), on June 27, 2022, the Company approved a restructuring plan to drive greater efficiency and productivity in global selling, general and administrative resources in connection with the initiatives identified as part of its previously announced ASCEND transformation program, with the costs of the plan then estimated at $6 to $10 million. On September 23, 2022, the Company approved an updated restructuring plan. The costs of this updated plan, (which includes the amounts reported in the Form 10-Q) are estimated at $10 to $15 million and constitute predominately severance and other employee-related costs incurred as cash expenditures and impacting both the Company’s IT&S and Corporate groups. These costs are expected to be incurred over the next approximately 24 months, ending in the fourth quarter of the Company’s fiscal year ending August 31, 2024.
As the ASCEND transformation program continues to develop, additional restructuring actions associated with other elements of the program may be initiated in future periods.

This Amendment No. 1 on Form 8-K/A (this “Amendment”) to the Current Report on Form 8-K originally filed on June 29, 2021 (the “Original 8-K”) by Enerpac Tool Group Corp. (the “Company”) is filed by the Company for the sole purpose of correcting an inadvertent error on the cover page of the Original 8-K. The error was that the trading symbol for the Company’s Class A Common Stock, par value $0.20 per share (the “Common Stock”) in the table under the heading “Securities registered pursuant to Section 12(b) of the Act” incorrectly stated that the trading symbol for the Company was “ATU”. This Amendment corrects such table to state that the trading symbol for the Company’s Common Stock is “EPAC”. There is no other amendment to the Original 8-K or its exhibits made by this Amendment.
