Item 2.02Results of Operations and Financial Condition.

On March 11, 2026, Sprinklr, Inc. (the “Company”) issued a press release announcing, among other things, its financial results for the fourth quarter and year ended January 31, 2026. A copy of the press release is furnished herewith as Exhibit 99.1 and incorporated herein by reference. The information set forth under Item 2.02 of this Current Report, including Exhibit 99.1 attached hereto, is furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or subject to the liabilities of that section. The information shall not be deemed incorporated by reference into any other filing with the Securities and Exchange Commission (the “SEC”) made by the Company regardless of any general incorporation language in such filing, except as shall be expressly set forth by specific reference in such filing. Item 8.01 Other Events. On March 8, 2026, the Board of Directors of the Company (the “Board”) authorized and approved a plan to repurchase up to $200 million of shares of the Company’s outstanding Class A common stock (the “Stock Repurchase Program”). The Company expects to enter into an accelerated share repurchase transaction for approximately $125 million in the near term under the Stock Repurchase Program, with the remaining authorization to be utilized at the Company’s discretion over the next year, subject to market conditions and other factors. Under the Stock Repurchase Program, the Company intends to repurchase shares through open market purchases at prevailing market prices or in negotiated transactions off the market, including, without limitation, pursuant to 10b5-1 trading plans, accelerated share repurchase transactions, collared accelerated share repurchase transactions, volume weighted average purchase prepaid share forward transactions and similar arrangements, in accordance with applicable federal securities laws, including Rule 10b-18 of the Exchange Act. The Company intends to complete the Stock Repurchase Program by March 15, 2027, dependent on market conditions. Repurchases of the Company’s outstanding Class A common stock under the Stock Repurchase Program may be effected pursuant to a written trading plan under Rule 10b5-1 of the Exchange Act. If adopted, a trading plan that satisfies the conditions of Rule 10b5-1 would allow the Company to repurchase its shares at times when it might otherwise be prevented from doing so due to self-imposed trading blackout periods or pursuant to insider trading laws. Under any Rule 10b5-1 trading plan, the Company’s third-party broker would have authority to purchase the Company's Class A common stock in accordance with the terms of the plan, subject to SEC regulations regarding certain price, market, volume and timing constraints. Item 2.02    Results of Operations and Financial Condition. On September 3, 2025, Sprinklr, Inc. (the “Company”) issued a press release announcing, among other things, its financial results for the second quarter ended July 31, 2025. A copy of the press release is furnished herewith as Exhibit 99.1 and incorporated herein by reference.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On September 3, 2025, the Company announced that Manish Sarin, the Company’s Chief Financial Officer, principal financial officer and principal accounting officer, will leave the Company on September 19, 2025 (the “Transition Date”). Mr. Sarin has advised the Company that his departure is not related to any disagreement with the Company on any matter related to the operations, policies, or practices of the Company. In connection with Mr. Sarin’s transition, the Company expects to enter into a transition, separation and release of claims agreement (the “Separation Agreement”) with Mr. Sarin, pursuant to which Mr. Sarin will remain with the Company through the Transition Date (such period, the “Transition Period”). Pursuant to the Separation Agreement, during the Transition Period, Mr. Sarin will continue to be paid at his current base salary rate and will remain eligible to participate in the Company’s benefit plans pursuant to the terms of those plans. At the end of the Transition Period, Mr. Sarin will receive severance benefits consistent with the Company’s Executive Severance and Change in Control Plan, as amended from time to time. Mr. Sarin also will continue to be subject to customary continuing obligations post-employment, such as his obligations of confidentiality and to abide by applicable restrictive covenants. The foregoing description of the Separation Agreement does not purport to be complete and is subject to, and qualified in its entirety by, the complete text of the Separation Agreement, a copy of which the Company expects to file with its Quarterly Report on Form 10-Q for the quarter ending October 31, 2025, and upon filing will be incorporated herein by reference. In connection with Mr. Sarin’s departure, on September 2, 2025, the Board designated Rory Read, the Company’s President and Chief Executive Officer and principal executive officer, as the Company’s Chief Financial Officer, principal financial officer and principal accounting officer on an interim basis, effective as of the Transition Date. (the “Company”) expects its results for the quarter and fiscal year ended January 31, 2025 to be in-line with or above its guidance as provided in a press release issued December 4, 2024, that was previously furnished as Exhibit 99.1 to the Company’s Form 8-K filed with the Securities and Exchange Commission (the “SEC”) on December 4, 2024.

These results are based on preliminary unaudited financial and other information, and subject to normal quarterly closing processes and accounting review. Item 2.05 Costs Associated with Exit or Disposal Activities.

On February 4, 2025, the Company committed to a reduction in force involving approximately 15% of its global workforce as of January 31, 2025 (the “Plan”). The Plan is intended to help position the Company for long-term success by realigning employee costs with the current business and freeing up capital for incremental investments. The Company expects that these incremental investments will include hiring in key strategic areas, notably additional go-to-market resources to grow its core products and R&D resources to harden its Service product.

The Company estimates that it will incur non-recurring charges of approximately $25 million in connection with the workforce reduction under the Plan, consisting of severance payments, notice pay (where applicable), employee benefits contributions and related costs, and stock-based compensation. The Company expects that the majority of the restructuring charges will be incurred in the first and second quarters of fiscal 2026 and that the implementation of the workforce reduction, including cash payments, will be substantially complete by the end of the third quarter of fiscal 2026.

On June 3, 2024, the Board of Directors of the Company authorized the Company to amend its existing stock repurchase program to purchase an additional $100 million of shares of the Company’s outstanding Class A common stock, up to a maximum of $300 million shares of Class A common stock, inclusive of shares of Class A common stock already purchased (the “Updated Stock Repurchase Program”). Under the Updated Stock Repurchase Program, the Company intends to repurchase shares through open market purchases at prevailing market prices or in negotiated transactions off the market, including, without limitation, accelerated share repurchase transactions, collared accelerated share repurchase transactions, volume weighted average purchase prepaid share forward transactions and similar arrangements, in accordance with applicable federal securities laws, including Rule 10b-18 of the Exchange Act. The Company intends to complete the Updated Repurchase Program by January 31, 2025, dependent on market conditions. Repurchases of the Company’s outstanding Class A common stock under the Updated Stock Repurchase Program shall be effected pursuant to a written trading plan under Rule 10b5-1 of the Exchange Act. Adopting a trading plan that satisfies the conditions of Rule 10b5-1 will allow the Company to repurchase its shares at times when it might otherwise be prevented from doing so due to self-imposed trading blackout periods or pursuant to insider trading laws. On June 1, 2023, the Company’s Board of Directors (the “Board”), following the recommendation of the Nominating and Corporate Governance Committee of the Board, appointed Trac Pham to serve as a member of the Board and as a member of the Audit Committee of the Board (the “Audit Committee”), effective as of June 15, 2023. Mr. Pham, whose appointment fills the vacancy created by the previously announced resignation of John Chambers, is a Class III director whose term will expire at the Company’s 2024 Annual Meeting of Stockholders. The Board has determined that Mr. Pham is “independent” pursuant to the rules of The New York Stock Exchange (“NYSE”) and other governing laws and applicable regulations. Mr. Pham, age 54, served as Chief Financial Officer at Synopsys, Inc. from December 2014 to December 2022 and was responsible for Finance, Strategy and Corporate Business Development, and Information Technology. Previously, he was Vice President of Corporate Finance and Vice President of Financial Planning and Strategy at Synopsys. Mr. Pham serves on the board of directors and is the chair of the audit committee at UKG, Inc. and SiFive, Inc. Mr. Pham holds a B.A. in Economics from UC Berkeley and a Master from the School of Global Policy & Strategy at UC San Diego, where he was a Schoepflin Fellow. Director Changes

On November 30, 2022, Matthew Jacobson notified the Company’s Board of Directors (the “Board”) of his decision to resign as a Class I director of the Company and as a member of the Audit Committee of the Board, effective as of the close of business on December 1, 2022. Mr. Jacobson’s decision was not the result of any disagreement between Mr. Jacobson and the Company, its management, the Board or any committees thereof on any matter relating to the Company’s operations, policies or practices.

The Company and the Board express their sincere appreciation for Mr. Jacobson’s service to the Company and his valuable contributions to the Board.

To fill the vacancy created by Mr. Jacobson’s departure, the Board, following the recommendation of the Nominating and Corporate Governance Committee of the Board, appointed Kevin Haverty to serve as a member of the Board and as a member of the Compensation Committee of the Board (the “Compensation Committee”), effective as of December 2, 2022. Mr. Haverty is a Class I director whose term will expire at the Company’s 2025 Annual Meeting of Stockholders. The Board has determined that Mr. Haverty is “independent” pursuant to the rules of The New York Stock Exchange (“NYSE”) and other governing laws and applicable regulations.

Mr. Haverty, age 57, is currently the Senior Advisor to the CEO at ServiceNow, Inc. Previously, he served as its Chief Revenue Officer, the Executive Vice President of Worldwide Sales and other senior positions from December 2011 to the present. Executive Officer Changes

On September 8, 2022, the Company announced that Paul Ohls has been appointed to serve as the Company’s Chief Revenue Officer, effective as of October 1, 2022. Mr. Ohls will succeed Luca Lazzaron, who has made the decision to step down from the Chief Revenue Officer position, effective as of October 1, 2022. To assist in the transition to Mr. Ohls, Mr. Lazzaron will remain with the Company in an advisory role through December 31, 2022. Mr. Ohls, 49, has been with the Company since July 2018, most recently serving as Executive Vice President of Worldwide Sales and Success since May 2021. Previously, he served as the Company’s SVP, Americas. Prior to joining the Company, Mr. Ohls served as chief revenue officer at Tenfold, a LivePerson (LPSN) Company, from March 2017 to July 2018 and as the SVP of Americas Sales at Fuze (now 8x8, Inc.) from March 2015 to March 2017. Mr. Ohls holds a B.B.A. from Texas A&M University.

At the time of this report, the Company has not yet entered into any compensation, transition or severance arrangements with Mr. Lazzaron in connection with the announcement described above.
