Item 2.02 Results of Operations and Financial Condition. On March 16, 2026, Beyond Meat, Inc. (“Beyond Meat” or the “Company”) issued a press release announcing the delay in filing of its Annual Report on Form 10-K for the full year ended December 31, 2025, as disclosed under Item 7.01 below. In addition, the Company disclosed the following unaudited preliminary estimated results:
•Net revenues for the fourth quarter ended December 31, 2025 are expected to be approximately $61 million, which is in line with the Company’s previous guidance range of $60 million to $65 million.
•Net revenues for the full year ended December 31, 2025 are expected to be approximately $275 million.
The Company’s consolidated financial statements for the fourth quarter and full year ended December 31, 2025 are not yet available. Accordingly, the financial results presented above are preliminary estimates and subject to the completion of the Company’s financial closing procedures and any adjustments that may result from the completion of the audit and finalization of the consolidated financial statements. As a result, these preliminary estimated results may differ from actual results that will be reflected in the consolidated financial statements for the fourth quarter and full year ended December 31, 2025 when they are completed and publicly disclosed. Item 2.02 Results of Operations and Financial Condition. On October 24, 2025, Beyond Meat, Inc. (“Beyond Meat” or the “Company”) disclosed the following unaudited preliminary financial results as of and for the three months ended September 27, 2025. •Net revenue is expected to be approximately $70 million for the three months ended September 27, 2025, which is in line with the Company’s previous guidance range of $68 million to $73 million. •Gross margin is expected to be in the range of approximately 10% to 11% for the three months ended September 27, 2025, inclusive of approximately $1.7 million of expenses related to the suspension and substantial cessation of operational activities in China. Excluding these charges, gross margin is expected to be in the range of approximately 12% to 13%. •Operating expenses are expected to be in the range of approximately $41 million to $43 million for the three months ended September 27, 2025, inclusive of approximately $2 million of charges related to certain non-routine items, including incremental legal expenses associated with a contractual dispute with a former co-manufacturer, amortization of certain retention program expenses and costs related to a partial lease termination of a portion of the Company’s campus headquarters building. Excluding these charges, operating expenses are expected to be in the range of approximately $39 million to $41 million. •In addition to and not included in the preliminary estimates above, the Company expects to record a non-cash impairment charge for the three months ended September 27, 2025, related to certain of its long-lived assets. The Company’s recoverability test, conducted in accordance with ASC 360, preliminarily indicated that the carrying amount of certain of its long-lived assets was not recoverable from the projected undiscounted future cash flows of the relevant asset group. (the “Company”) issued an earnings release and filed a Current Report on Form 8-K announcing its financial results for the second quarter ended June 28, 2025 (the “Original Earnings Release”). The Company is filing this Current Report on Form 8-K/A to furnish the earnings release, as revised (the “Revised Earnings Release”), solely to correct the reported amount of “Selling, general and administrative expenses” and the resulting effects of such change on the Company’s Condensed Consolidated Statements of Operations, Balance Sheets and Statements of Cash Flows. Total Selling, general and administrative expenses (in thousands) should be $37,696 for the three months ended June 28, 2025 rather than $41,616 and $85,368 for the six months ended June 28, 2025 rather than $89,288, as previously reported. The Company estimates that it will incur one-time cash charges of approximately $0.8 million to $1.3 million in connection with the reduction in force, primarily consisting of severance payments, employee benefits and related costs, in all cases, provided to departing employees. The Company expects that the majority of these charges will be incurred in the third quarter of 2025, subject to applicable legal requirements, which may delay the time these charges will be incurred beyond the end of the third quarter of 2025. The calculation of the charges the Company estimates it will incur are subject to uncertainties and based on a number of assumptions, including applicable legal requirements; the actual charges incurred may differ from the estimate disclosed above. Item 1.01 Entry Into a Material Definitive Agreement.
Loan and Security Agreement On May 7, 2025 (the “Effective Date”), Beyond Meat, Inc. (the “Company”) entered into a Loan and Security Agreement (the “Loan and Security Agreement”), among the Company, as the borrower, Unprocessed Foods, LLC, an affiliate of the Ahimsa Foundation, as lender (“Unprocessed Foods”), the other lenders party thereto from time to time (together with Unprocessed Foods, the “Lenders”), and certain of the Company’s subsidiaries party thereto from time to time, as guarantors (the “Guarantors” and, together with the Company, the “Loan Parties”), pursuant to which, among other things, the Lenders have agreed to provide for a senior secured delayed-draw term loan facility (the “Delayed Draw Term Loan Facility” and the loans thereunder, the “Delayed Draw Term Loans”) in an aggregate principal amount of $100.0 million. The Delayed Draw Term Loan Facility was undrawn on the Effective Date and the Company does not have any obligation to draw on the Delayed Draw Term Loan Facility under the Loan and Security Agreement. Ahimsa Foundation has agreed to ensure that Unprocessed Foods has sufficient capital to fund any Delayed Draw Term Loan requested by the Company under and pursuant to the terms of the Delayed Draw Term Loan Facility and has committed to fund such amounts directly in the alternative. In connection with the entry into the Delayed Draw Term Loan Facility, the Company agreed to pay the Lenders a non-refundable fee of $625,000. The Delayed Draw Term Loans are available to be drawn in one or more draws until February 7, 2026, subject to a minimum borrowing requirement of $3 million and satisfaction or waiver by the Lenders of the applicable conditions precedent set forth in the Loan and Security Agreement. Any Delayed Draw Term Loans borrowed under the Loan and Security Agreement will mature on February 7, 2030 (the “Initial Maturity Date”), which date may be extended by the Company, with the relevant Lenders’ consent, with respect to all or any portion of any Delayed Draw Term Loan to a date which is not later than May 7, 2035
(such latter date, the “Extended Maturity Date”). Proceeds of the Delayed Draw Term Loans may not be used to repay, amortize or restructure any debt for borrowed money other than debt owed to the Lenders and debt incurred by a Loan Party to finance the purchase, construction or improvement of any asset or any services. Borrowings under the Loan and Security Agreement will be made in U.S. dollars and will accrue interest at a rate per annum of 12.0%; provided that if the maturity date of any Delayed Draw Term Loan has been extended after the Initial Maturity Date in accordance with the terms of the Loan and Security Agreement, then such rate per annum will be 17.5% after the Initial Maturity Date. Item 2.05 Costs Associated with Exit or Disposal Activities. 2025 Reduction-in-Force On February 24, 2025, the Board of Directors of the Company (the “Board”) approved a plan to reduce the Company’s current workforce in North America and the EU by approximately 44 employees, representing approximately 17% of the Company’s global non-production workforce (or approximately 6% of the Company’s total global workforce) (the “2025 RIF”). This decision was based on cost-reduction initiatives intended to reduce operating expenses. The Company currently estimates that it will incur one-time cash charges of approximately $1.0 million to $1.5 million in connection with the 2025 RIF, primarily consisting of severance payments, employee benefits and related costs, in all cases, provided to departing employees. The Company expects that the majority of these charges will be incurred in the first quarter of 2025, subject to applicable legal requirements, which may delay the time these charges will be incurred beyond the end of the first quarter of 2025. The calculation of the charges the Company estimates it will incur are subject to uncertainties and based on a number of assumptions, including applicable legal requirements; the actual charges incurred may differ from the estimate disclosed above. Item 2.05. Costs Associated with Exit or Disposal Activities. On November 1, 2023, the Board of Directors of the Company approved a plan to reduce the Company’s current workforce by approximately 65 employees, representing approximately 19% of the Company’s global non-production workforce (or approximately 8% of the Company’s total global workforce). This decision was based on cost-reduction initiatives intended to reduce operating expenses.
The Company currently estimates that it will incur one-time cash charges of approximately $2.0 million to $2.5 million in connection with the reduction in force, primarily consisting of notice period and severance payments, employee benefits and related costs. The Company expects that the majority of these charges will be incurred in the fourth quarter of 2023, and that the reduction in force will be substantially complete by the end of 2023, subject to local law and consultation requirements, which may extend the process beyond the end of 2023 in certain countries. The charges the Company expects to incur are subject to assumptions, including local law requirements, and actual charges may differ from the estimate above. In aggregate, in 2024, the reduction in force, combined with the elimination of certain open positions, is expected to result in approximately $9.5 million to $10.5 million in cash operating expense savings, and an additional approximately $1.0 million to $2.0 million in non-cash savings related to previously granted, unvested stock-based compensation which would have vested in 2024.

Item 2.02. Results of Operations and Financial Condition.
On October 14, 2022, Beyond Meat, Inc. (the “Company”) issued a press release providing an update on prior guidance for full year 2022. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

Item 2.05. Costs Associated with Exit or Disposal Activities.
On October 11, 2022, the Board of Directors of the Company approved a plan to reduce the Company’s current workforce by approximately 200 employees, representing approximately 19% of the Company’s total global workforce. This decision was based on cost-reduction initiatives intended to reduce operating expenses, sharpen the Company’s focus on a set of key growth priorities, and target cash flow positive operations within the second half of 2023.
The Company currently estimates that it will incur one-time cash charges of approximately $4 million in connection with the reduction in force, primarily consisting of notice period and severance payments, employee benefits and related costs. The Company expects that the majority of these charges will be incurred in the fourth quarter of 2022, and that the reduction in force will be substantially complete by the end of 2022, subject to local law and consultation requirements, which may extend the process beyond the end of 2022 in certain countries. The charges the Company expects to incur are subject to assumptions, including local law requirements, and actual charges may differ from the estimate disclosed above.
In aggregate, over the next twelve months, the reduction in force, combined with the elimination of certain open positions and changes to the executive leadership team, including as described in Item 5.02 of this Current Report on Form 8-K, is expected to result in approximately $27 million in cash operating expense savings, and an additional approximately $12 million in non-cash savings related to previously granted, unvested stock-based compensation which would have vested over the next twelve months. In addition, as a result of these actions, the Company expects to recognize approximately $3 million of one-time non-cash savings related to the reversal of previously expensed, unvested stock-based compensation in the third and fourth quarte
