Item 2.02.    Results of Operations and Financial Condition.

On December 9, 2025, Braze, Inc. (the “Company”) issued a press release announcing its financial results for the third fiscal quarter ended October 31, 2025. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Item 7.01. Regulation FD Disclosure.

On October 21, 2025, the number of outstanding shares of the Company's Class B common stock represented less than 10% of the aggregate number of shares of the then outstanding Class A common stock and Class B common stock. As a result, in accordance with the terms of the Company's amended and restated certificate of incorporation, all outstanding shares of the Company's Class B common stock will automatically convert into the same number of shares of Class A common stock on the last trading day of the fiscal quarter ended January 31, 2026.

The Company's board of directors appointed Bill Magnuson to serve as the President of the Company, effective immediately following the effectiveness of the Resignation (as defined below). Effective at such time, Mr. Magnuson shall serve as the Company's President and Chief Executive Officer.

Effective June 1, 2025, Mr. Kleeger, the then President and Chief Commercial Officer of the Company, resigned from his position at the Company, in accordance with the terms of a a transition, separation and release agreement previously disclosed via a Current Report on Form 8-K filed with the Securities and Exchange Commission on February 3, 2025 (the “Resignation”).

The information required by Items 401(b), (d), (e) and Item 404(a) of Regulation SK (17 CFR 229.401(b), (d), (e) and 229.404(a)) can be found in the Proxy Statement of the Company, filed with the Securities and Exchange Commission on May 15, 2025, with such information incorporated herein by reference.
