On January 30, 2026, BCB Bancorp, Inc. (the “Company”), the holding company for BCB Community Bank, issued a press release (the “Press Release”) reporting the Company’s financial results at and for the quarter and year ended December 31, 2025. A copy of the Press Release and the accompanying financial statements are attached hereto as Exhibit 99.1 and are incorporated by reference into this Item 2.02. The information provided in Item 2.02 of this report, including Exhibit 99.1, shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended.

The Press Release also announced that the Company’s board of directors declared an $0.08 per share cash dividend. The dividend is payable on February 26, 2026 to common shareholders of record at the close of business on February 11, 2026.
